What an Email Security Agreement Covers

An Email Security Agreement is a written contract that sets rules and responsibilities for secure electronic mail handling between parties. It defines acceptable encryption and authentication methods, permitted data types, incident reporting procedures, retention requirements, and liability allocation for breaches or misuse. The agreement clarifies roles for administrators, senders, and recipients, and can require specific controls such as TLS, message signing, or use of secure gateways. It is intended to reduce risk from interception, phishing, and accidental disclosure while documenting consent to electronic communications and security expectations between organizations.

Why an Email Security Agreement Is Important

A written Email Security Agreement provides legal clarity about encryption, retention, breach notification, and responsibilities, helping organizations meet regulatory obligations and reduce technical and compliance risk.

Why an Email Security Agreement Is Important

Who Typically Uses an Email Security Agreement

Use the agreement to document consent, specify controls, and assign responsibilities so all parties understand expected security practices and compliance obligations.

  • Healthcare providers and clinics exchanging PHI under HIPAA regulations.
  • Financial services teams sending account or payment information.
  • Legal and corporate counsel sharing privileged documents.

Core Elements to Include in a Professional Agreement

A complete Email Security Agreement combines technical controls, legal terms, and operational procedures so both parties can implement consistent protections and respond to incidents efficiently.

Scope

Define which systems, email domains, user groups, and message types are covered, and whether attachments, links, or inline data are included in scope for security controls.

Encryption

Specify acceptable encryption in transit (TLS 1.2/1.3) and at rest (AES-256), any mandatory S/MIME or PGP use, and minimum cipher suites permitted for message exchange.

Authentication

Describe sender and recipient authentication: required DKIM/SPF/DMARC configuration, multi-factor authentication for administrative access, and identity-proofing steps for third parties.

Incident Response

Set timelines for reporting suspected compromises, the responsible contacts, required forensic evidence preservation, and cooperation obligations during remediation and notification.

Data Handling

Outline permitted data categories, classification labels, retention rules, deletion processes, and requirements for secure archival or encrypted backup of messages containing regulated data.

Liability and Remedies

Allocate responsibility for breaches, caps on damages if applicable, indemnification language, and the procedure for resolving disputes or claims related to email security failures.

Essential Information to Record in the Agreement

Party Names: Full legal entity names
Contact Points: Security and legal contacts
Scope Dates: Effective and termination dates
Technical Specs: Required protocols and ciphers
Breach Procedures: Notification timelines
Governing Law: Chosen state jurisdiction

How to Complete an Email Security Agreement

Follow these sequential steps to prepare, negotiate, and finalize an Email Security Agreement so technical teams and legal counsel have a clear implementation roadmap.

  • 01
Draft Scope: List systems, domains, and message types in scope.
  • 02
Specify Controls: Define encryption, authentication, and logging requirements.
  • 03
Assign Roles: Name administrators, responders, and escalation contacts.
  • 04
Approve and Sign: Legal review followed by authorized signatures.

Digital Workflow Recommendations for Implementation

Use an electronic workflow to manage approvals, preserve an audit trail, and enforce required fields during negotiation and signature collection.

Field Configuration
Access Control Restrict editing to legal and security roles
Required Approvals Parallel approval from security and legal
Audit Trail Capture timestamps, IP, and action logs
Retention Export signed copy to secure archive

Typical Process for Agreement Execution and Enforcement

Implement a straightforward process so stakeholders know how the agreement is executed and how technical teams operationalize the terms.

  • Prepare Draft: Legal drafts agreement and technical annex.
  • Technical Review: Security team validates controls and feasibility.
  • Contract Approval: Authorized representatives review legal terms.
  • Operationalize: Teams implement controls and monitor compliance.

Technical and Platform Considerations

Document platform responsibilities clearly so procurement and IT teams can validate configuration and maintain audit capabilities after execution.

  • Protocols: TLS 1.2/1.3, DKIM, SPF, DMARC
  • Integrations: Mail gateways, SIEM, and DLP
  • Compliance: BAA for PHI where required

Common Mistakes to Avoid When Drafting the Agreement

  • Being vague about scope and leaving ambiguity about which messages or attachments are covered.
  • Specifying technical controls without confirming the other party can implement them operationally.
  • Failing to include breach notification timelines and escalation contacts.
  • Using inconsistent or incomplete signatory names that complicate enforcement.

Key Risks and Potential Consequences

Regulatory Fines: Potential enforcement by regulators
Civil Liability: Third-party claims and damages
Operational Downtime: Service interruption and remediation costs
Reputational Harm: Loss of customer trust
Contract Breach: Termination or remedies
Data Exposure: Unauthorized disclosure of sensitive data

Typical Deadlines and Timeframes to Build Into the Agreement

Set clear timeframes for review, implementation, notice, and retention so both parties meet expectations and legal obligations.

Review Period:

Allow 10–30 days for technical and legal review before signing.

Implementation Window:

Specify 30–90 days for required controls deployment after signature.

Breach Notice:

Require initial notification within 72 hours or as agreed contractually.

Periodic Audit:

Schedule annual or biennial compliance assessments.

Retention Start:

Retention measured from effective date or last active transaction.

Key Milestones from Draft to Ongoing Compliance

Map milestone stages so legal, security, and operations teams know sequencing from initial draft through ongoing audits and renewals.

01

Drafting

Create the initial agreement and technical annex for review.

02

Review and Negotiation

Legal and security teams exchange redlines and agree on controls.

03

Execution

Authorized signatories sign and effective date is established.

04

Ongoing Compliance

Implement monitoring, audits, and periodic renewals.
