Either party may terminate this Agreement for convenience upon written notice to the other party delivered no fewer than days prior to termination. Termination for cause is permitted where the non‑breaching party provides written notice and a day cure period and the breach is not remedied within that period.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information includes, but is not limited to, mailing lists, segmentation criteria, campaign plans, account credentials, and data analytics.

Receiving party shall not use Confidential Information except to perform its obligations under this Agreement, and shall not disclose such Confidential Information to any third party except to its employees, contractors, or service providers who need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidentiality obligations survive termination for a period of years.

DATA HANDLING & COMPLIANCE

Service Provider shall maintain reasonable administrative, technical, and physical safeguards to protect Client data. Client retains ownership of all subscriber lists and content. Service Provider shall not share, sell, or transfer Client lists to any third party without Client's prior written consent and shall comply with applicable anti-spam and data protection obligations in performance of the services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Exclusive venue for disputes will be in the state or federal courts located in the county designated by applicable law within that state.

ENTIRE AGREEMENT

This Agreement (including any appendices and the Scope of Work set forth above) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by an authorized representative of each party.

MISCELLANEOUS PROVISIONS

Neither party will be liable for delay or failure to perform due to causes beyond its reasonable control. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
