EMAIL SUBSCRIPTION CONFIRMATION AGREEMENT

RECITALS

This Email Subscription Confirmation Agreement (the Agreement) is entered into between the parties identified below as of the Effective Date indicated herein.

WHEREAS, Subscriber Name: (the Subscriber) has requested to receive electronic communications, newsletters, and other email content from the Service Provider; and

WHEREAS, Service Provider Name: (the Provider) agrees to provide such email subscription services subject to the terms and conditions set forth in this Agreement.

WHEREAS, Effective Date: the parties wish to confirm the subscription options, payment arrangements (if any), confidentiality, and other terms governing the electronic communications to be delivered to the Subscriber.

Auto-renewal: By checking, Subscriber authorizes automatic renewal under the same payment and delivery terms unless either party provides notice of non-renewal in accordance with the Term and Termination provision below.

PAYMENT TERMS

If the subscription is offered for a fee, Subscriber agrees to pay the Provider as follows.

Amount past due shall incur a late fee of of the overdue amount for each month or portion thereof, or the maximum permitted by applicable law, whichever is less. Collections costs and interest may apply.

TERM AND TERMINATION

This Agreement commences on the Subscription Start Date specified above and continues until the Subscription End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Termination for convenience: either party may terminate this Agreement without cause upon days prior written notice to the other party. Termination does not relieve Subscriber of payment obligations for fees accrued through the effective termination date.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" includes subscriber lists, email content drafts, analytics, pricing, and any non-public business information disclosed in writing or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information solely for the purposes of performing obligations under this Agreement. The foregoing shall not apply to information which is or becomes public through no breach by the receiving party or which is independently developed without use of the disclosing party’s Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or schedules executed contemporaneously, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

ACKNOWLEDGMENT AND CONSENT

Subscriber acknowledges receipt of this Agreement and consents to receive emails as described herein. Subscriber represents and warrants that Subscriber is the owner or authorized user of the email address provided and that Subscriber consents to the processing of Subscriber's contact information for the purpose of delivering the subscription communications.
