Recitals

WHEREAS, Delivering Party represents and warrants that Delivering Party has identified and introduced the individual set forth below and has coordinated the placement process on behalf of Employer and that such individual has been made available for hire by Employer (the "Employee");

WHEREAS, Employer desires to engage Employee as an employee of Employer and to accept the delivery and introduction services of Delivering Party under the terms and conditions set forth in this agreement; and

WHEREAS, the parties desire to memorialize the terms of placement, payment, and related obligations in a binding agreement.

Employee Details

Scope of Work

The parties agree that the Employee will perform the duties and responsibilities described below. Employer retains the right to direct daily work assignments, hours, and supervision subject to applicable law.

Compensation & Payment Terms

Employer agrees to pay Delivering Party a placement fee as consideration for the introduction and delivery of Employee. The placement fee and payment schedule are set forth below.

If payment is not timely made in accordance with the Payment Schedule, Delivering Party may assess the Late Fee stated above in addition to all costs of collection, including reasonable attorneys' fees. All monetary amounts are stated in the currency specified in this form.

Guarantee and Refund

Delivering Party warrants that Employee was represented to Employer in good faith. If Employee's engagement is terminated by Employer for cause or if Employee resigns within days of the Start Date, the parties agree the refund or pro-rata credit, if any, will be calculated as follows:

Term and Termination

This Agreement is effective as of the Effective Date below and continues until the earlier of: (a) completion of placement obligations by Delivering Party and final payment by Employer; or (b) termination as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Termination shall not relieve Employer of payment obligations for services rendered and for Employee time worked prior to termination.

Confidentiality

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial or personnel information. Each party agrees (a) to use Confidential Information only to perform its obligations under this Agreement; (b) to limit disclosure to employees and agents who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement; and (c) to take reasonable measures to protect against unauthorized disclosure. Confidential Information does not include information that is or becomes publicly available through no breach by the receiving party or is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Representations, Indemnification and Compliance

Delivering Party represents that it has complied with applicable employment screening and verification obligations and that all information provided to Employer regarding Employee is true and correct to the best of its knowledge. Delivering Party agrees to indemnify and hold Employer harmless from liabilities, claims, or losses arising from Delivering Party's breach of its representations, including reasonable attorneys' fees. Employer shall be responsible for matters arising from Employer's direction, supervision, and management of Employee after hire.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles. Venue for any dispute under this Agreement shall be in the state or federal courts located in the applicable county within that State.

Entire Agreement and Amendment

This document, together with any written attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes any prior oral or written agreements. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Acknowledgements

Each party signing below represents and warrants that it has full authority to enter into this Agreement and that its signatory is duly authorized to bind the party. The parties further acknowledge that no oral representations, promises, or inducements not contained in this Agreement are binding.
