Parties and Effective Date

Recitals

WHEREAS, Employer Name: is engaged in the business of employing personnel and maintaining workforce performance standards; and

WHEREAS, Service Provider Name: possesses expertise in conducting employee performance evaluations and related advisory services; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will perform an Employee Performance Evaluation ("PE") and any related services as described herein.

Scope of Work

Service Provider shall perform the services described below. Deliverables include written evaluation reports, individual coaching notes where applicable, and a summary executive report. All services shall be performed in a professional manner consistent with industry practice.

Payment Terms

In consideration for the services, Employer shall pay Service Provider the total compensation set forth below in accordance with the schedule. Service Provider shall invoice Employer in accordance with the schedule and Employer shall pay undisputed amounts within the payment period specified. All fees are exclusive of applicable taxes.

If Employer disputes any portion of an invoice, Employer must provide written notice of the dispute within ten (10) business days of receipt of the invoice and shall pay any undisputed portion in accordance with the payment schedule. Interest on overdue undisputed amounts shall accrue at the rate set forth above.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Upon termination, Service Provider shall deliver all work in progress and Employer shall pay for all services performed and approved expenses incurred through the effective date of termination. Termination shall not relieve either party of obligations that by their nature survive termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information relating to the disclosing party's business operations, personnel evaluations, employee records, compensation, trade secrets, or methodologies disclosed in connection with this Agreement. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as required to perform obligations under this Agreement or as required by law; and (c) use it only for the purposes contemplated by this Agreement.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to conflict of law principles. The parties agree that any dispute arising under this Agreement will be resolved in the state or federal courts located within the governing state.

Independent Contractor: Service Provider is an independent contractor and nothing in this Agreement creates an employment, joint venture, or agency relationship between the parties. Service Provider shall be solely responsible for all taxes, insurance, and other obligations arising from its performance.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct, subject to applicable limits of liability and defenses.

Entire Agreement and Amendments

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices shall be deemed given when delivered personally, by certified mail, or by nationally recognized overnight courier.
