WHEREAS, the Employer wishes to formally recognize the Employee for exemplary performance, outstanding service, or specific accomplishments as set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.

Either party may terminate this Agreement for any material breach that remains uncured for days after written notice. Employer may terminate immediately for cause, including misconduct or violation of Employer policy.

Confidentiality

The Employee acknowledges that certain aspects of the recognition process and related materials may be confidential. The Employee shall not disclose confidential information concerning the Employer's business operations, proprietary procedures, or compensation practices, except as required by law. Confidential information does not include information that is or becomes generally available to the public through no fault of the Employee.

Publicity and Use of Name

The Employer may, at its discretion, publicize the recognition including the Employee's name, title, and a description of the achievement. The Employee grants the Employer a non-exclusive, royalty-free right to use the Employee's name and likeness solely in connection with such announcements, unless the Employee indicates otherwise in writing prior to publication.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the Employer below, without regard to conflicts of law principles. Selected Governing State:

This Agreement, together with any exhibits or written policies expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
