EMPLOYEE SCREENING SERVICES AGREEMENT AND AUTHORIZATION

RECITALS

WHEREAS, Client seeks to obtain employment screening and verification services for prospective and current personnel; and

WHEREAS, Provider is duly qualified and experienced to perform employment screening services including criminal history checks, employment verification, education verification, license verification, and drug testing as requested by Client; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

AUTHORIZATION AND REPRESENTATIONS

Client represents and warrants that Client has obtained all necessary authorizations and consents from the individual subject to screening in conformity with applicable law and will retain proof of such consent for the term of this Agreement. Client hereby authorizes Provider to perform the screening services specified above and to obtain records and information from third parties as necessary to complete the scope of work.

PAYMENT TERMS

If Client fails to timely pay fees due, Provider may suspend performance of services until payment is made and shall be entitled to reimbursement of reasonable collection costs, including attorneys' fees, to the extent permitted by law.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause upon written notice to the other party not less than days prior to the effective date of termination.

Either party may terminate immediately for material breach by the other party if such breach is not cured within 15 days after written notice of breach.

CONFIDENTIALITY

Each party shall treat as Confidential Information all non-public information provided by the other party in connection with this Agreement, including without limitation candidate personal data and screening results. Confidential Information shall be used solely for the performance of this Agreement and shall not be disclosed to any third party except as required by law or with the prior written consent of the disclosing party.

Provider shall implement and maintain reasonable administrative, technical and physical safeguards designed to protect candidate personal information against unauthorized access, disclosure or use.

INDEMNIFICATION

Client shall indemnify, defend and hold Provider harmless from and against any liability, loss or damage (including reasonable attorneys' fees) arising from Client's failure to obtain required consents or from Client's misrepresentations regarding candidate authorization. Provider shall indemnify Client for liabilities resulting from Provider's material breach of its confidentiality obligations or gross negligence in performing the services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles.

ENTIRE AGREEMENT

This Agreement, including any schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

LIMITATION OF LIABILITY

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality, in no event shall either party be liable to the other for any consequential, incidental, special or punitive damages, and aggregate direct damages shall not exceed the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to liability.

CERTIFICATIONS

Each party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations hereunder. Provider certifies that all screening activities performed shall comply with applicable laws and industry standards.
