EMPLOYEE STOCK GRANT AGREEMENT

This Employee Stock Grant Agreement (this "Agreement") is entered into between the Company named above and the Grantee named above. The Company administers an employee equity incentive plan (the "Plan") under which shares of the Company's common stock may be granted. Capitalized terms used and not otherwise defined herein shall have the meanings assigned to them in the Plan.

Subject to the terms and conditions of this Agreement and the Plan, the Company hereby grants to the Grantee the right to receive:

Vesting

The shares granted shall vest according to the following schedule, provided that the Grantee remains an employee or consultant through each vesting date, except as otherwise provided herein.

Restrictions; Forfeiture

All shares subject to this grant are subject to the restrictions set forth in the Plan and this Agreement. If the Grantee's service terminates for any reason prior to a vesting date, any unvested shares shall be forfeited to the Company unless otherwise determined by the Board in its sole discretion. The Board may accelerate vesting in accordance with the Plan or under the terms of any separate written agreement.

Transfer; Legends; Registration

The Grantee may not sell, assign, pledge or otherwise transfer shares prior to their issuance without compliance with any applicable securities laws and without the Company's prior written consent. Shares issued under this Agreement shall bear the appropriate legends, and the Company may require that shares remain unregistered or subject to stop-transfer instructions until such time as the Company determines that transfer is permissible.

Taxes; Withholding

The Grantee acknowledges that the Grantee is responsible for all taxes resulting from the grant, vesting and issuance of shares. The Company shall have the right to withhold from any amounts payable to the Grantee, or require the Grantee to remit, sufficient funds to satisfy federal, state and local tax withholding obligations arising in connection with this grant.

Termination and Forfeiture Upon Termination

Upon termination of the Grantee's service, the Grantee's rights hereunder shall be governed by the terms of the Plan and any applicable written policy. Unless otherwise provided in the Plan or by the Board, vested shares shall remain the property of the Grantee and unvested shares shall immediately be forfeited.

Representations; Acknowledgements

The Grantee represents and warrants that the Grantee has received and reviewed a copy of the Plan and this Agreement, has had full opportunity to ask questions of and receive advice from counsel of the Grantee's choosing, and accepts the grant subject to the terms and conditions contained herein and in the Plan.

Amendment; Governing Law

This Agreement may be amended only by a written instrument executed by the Company and the Grantee, except as otherwise provided in the Plan. This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of laws principles.

Notices

All notices or other communications required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below (or to such other address as a party designates in writing).
