Employer agrees to pay the Training Cost in accordance with the Payment Schedule. If Employee is responsible for payment or reimbursement, the Employee agrees to reimburse Employer within the timeframe stated above. Any unpaid amounts past the due date shall accrue the Late Payment Fee. All payments are due in lawful currency and, if applicable, will be reduced by applicable withholding as required by law.

Repayment Obligation (if applicable)

If Employer funds the training and Employee voluntarily terminates employment, or is terminated for cause, within months following completion of the training, Employee agrees to reimburse Employer a pro rata portion of the Training Cost. Repayment terms will be calculated on a straight-line basis and shall be due within thirty (30) days of separation unless otherwise agreed in writing.

Confidentiality

Employee acknowledges that training materials, assessments, manuals, and related intellectual property (collectively, Confidential Materials) are proprietary to Employer or the Training Provider. Employee shall not disclose, copy, reproduce or distribute Confidential Materials except as required to perform job duties or as expressly authorized in writing. This obligation survives termination of employment and remains in effect for a period of years following termination.
