EMPLOYEE TRAINING PROCEDURE AGREEMENT

This Employee Training Procedure Agreement ("Agreement") is made effective as of by and between the following parties.

WHEREAS

WHEREAS, Company requires a standardized procedure for training employees in job-specific skills, compliance, safety, and professional development; and

WHEREAS, Training Provider has the expertise, qualifications, and capacity to design, deliver, and assess training programs and to maintain records in accordance with Company policies and applicable law; and

WHEREAS, the parties desire to set forth the scope, procedures, payment, confidentiality, termination, and governing law applicable to the training services to be provided under this Agreement.

SCOPE OF WORK

The Training Provider will design, deliver, and evaluate the training described below in accordance with the standards and schedule set forth in this Agreement. The scope includes curriculum development, instructional delivery, assessment, and recordkeeping.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the intended termination date. Either party may terminate immediately for material breach that is not cured within thirty (30) days of written notice specifying the breach. Termination shall not relieve the Company of its obligation to pay for services performed and accepted prior to termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all proprietary or non-public information disclosed by the other party (the "Disclosing Party") in connection with this Agreement, including but not limited to employee data, curricula, assessment materials, business processes, and pricing ("Confidential Information"). Confidential Information shall not include information that (a) is or becomes generally available to the public other than through a breach of this Agreement, (b) was lawfully in the Receiving Party's possession prior to disclosure, or (c) is received from a third party without breach of any obligation of confidentiality.

The Receiving Party shall use Confidential Information solely for the purpose of performing obligations under this Agreement and shall restrict access to such information to employees or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

COMPLIANCE WITH LAWS & POLICIES

The Training Provider shall comply with all applicable federal, state, and local laws and regulations, and with Company's relevant policies including but not limited to safety, nondiscrimination, and data protection policies. The Training Provider shall obtain and maintain all permits, licenses, and certifications required to perform the services under this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties agree to attempt to resolve disputes in good faith through negotiation prior to initiating litigation.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals, and agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable to the other for consequential, incidental, special, or punitive damages, and each party's aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by the Company to the Training Provider under this Agreement during the twelve (12) months preceding the claim.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notice is effective upon personal delivery, three (3) days after deposit in the U.S. mail (certified, return receipt requested), or one (1) business day after deposit with an overnight courier.
