RECITALS

WHEREAS, Employer desires to engage Employee to perform the duties and responsibilities described herein and Employee is willing to accept such engagement on the terms and conditions set forth in this Authorization; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. AUTHORIZATION; POSITION; DUTIES

1.1 Authorization. Employer hereby authorizes Employee to perform the duties described in Section 1.2 at the location(s) and during the term specified in this Authorization. This Authorization is not a guarantee of continued employment beyond the Term set forth below and is subject to the terms and conditions herein.

1.2 Position and Duties. Employee shall serve in the capacity of and shall faithfully and diligently perform duties customary to that position and any additional duties reasonably assigned by Employer.

2. TERM; WORK SCHEDULE

2.1 Term. The term of this Authorization shall commence on and continue until terminated in accordance with Section 8.

6. BACKGROUND CHECKS AND CONDITIONS OF EMPLOYMENT

7. CONFIDENTIALITY AND INTELLECTUAL PROPERTY

7.1 Confidential Information. Employee shall not disclose or use Employer's confidential information except as necessary to perform duties for Employer. Upon termination, Employee shall promptly return all confidential materials and other property of Employer.

7.2 Inventions. To the extent permitted by law, Employee assigns to Employer all right, title and interest in any invention, improvement or work product conceived or developed by Employee in the scope of Employee's duties for Employer.

8. TERMINATION

8.1 At‑Will. Unless otherwise agreed in writing, Employee's authorization to work is at‑will and may be terminated by either Party at any time, with or without cause and with or without prior notice.

8.2 Return of Property; Final Pay. Upon termination, Employee shall return Employer property. Final pay, if any, will be issued in accordance with applicable law and Employer policy.

9. INDEMNIFICATION

Employee shall indemnify and hold Employer harmless from and against any liabilities, losses or expenses resulting from Employee's willful misconduct, breach of this Authorization, or material misrepresentations made to Employer.

10. NOTICES

All notices required or permitted under this Authorization shall be in writing and delivered to the addresses set forth below or to such other address as a Party may designate in writing.

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment, modification or waiver of any provision of this Authorization shall be effective unless in writing and signed by both Parties. Failure to enforce any provision shall not constitute a waiver of future enforcement. This Authorization may be executed in counterparts, each of which shall be deemed an original.

12. GOVERNING LAW

This Authorization shall be governed by and construed in accordance with the laws of the state or jurisdiction where Employee primarily performs work, without regard to conflict of laws principles.

13. ENTIRE AGREEMENT

This Authorization contains the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

14. SEVERABILITY

If any provision of this Authorization is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.
