EMPLOYMENT DRY HIRE FORM

Parties

This Employment Dry Hire Agreement is made between Client Name: , and Contractor Name: . Each a "Party" and together the "Parties."

WHEREAS, the Client requires temporary personnel services on a dry hire basis for specific tasks and project assignments; and

WHEREAS, the Contractor supplies qualified personnel who will perform services without being an employee of the Client and without the Contractor providing payroll withholding or benefits on behalf of the Client; and

WHEREAS, the Parties desire to set forth the terms and conditions under which such personnel will be engaged and compensated.

Scope of Work

The Contractor will supply personnel to perform the duties described below. The Contractor represents that personnel provided possess the experience, qualifications and certifications necessary to perform assigned tasks.

Payment Terms

Compensation shall be as follows. The Contractor shall invoice the Client in accordance with the invoice schedule and the Client shall pay in accordance with the payment schedule set forth below.

Invoices must itemize days worked, hours, rates and any approved reimbursable expenses. The Contractor is solely responsible for all payroll taxes, worker benefits, and statutory contributions for the personnel it supplies. The Client will not withhold taxes or provide benefits on behalf of the Contractor or its personnel.

Term & Termination

Term: This Agreement will commence on Start Date: and continue until End Date: or until earlier termination as provided herein.

Either Party may terminate for convenience upon written notice of Notice Period (days): . Either Party may terminate immediately for material breach, failure to carry required insurance, fraud, or the commission of unlawful acts in connection with performance.

Upon termination, the Contractor shall be paid for all services rendered and approved expenses incurred through the effective date of termination. Contractor shall promptly return Client property and remove Contractor personnel and equipment from Client premises.

Confidentiality

The Contractor and its personnel shall keep strictly confidential all non-public information of the Client obtained in connection with the engagement, shall use it solely to perform the services, and shall not disclose such information to third parties without the Client's prior written consent, except as required by law. This obligation survives termination for a period of three (3) years or longer where the information constitutes a trade secret under applicable law.

Insurance, Compliance & Indemnity

The Contractor shall maintain, at its expense, insurance coverage appropriate to the Services, including workers' compensation, commercial general liability and, where applicable, professional liability. The Contractor warrants that it will comply with all applicable laws, regulations and industry standards. The Contractor shall indemnify and hold harmless the Client from any claims arising from Contractor's negligence, breach of this Agreement, or failure to pay taxes or benefits for its personnel.

Independent Contractor Status

The Parties agree that Contractor and personnel supplied under this Agreement are independent contractors and not employees, agents, partners, or joint venturers of the Client. Contractor retains sole authority to supervise its personnel and control how services are performed, subject to Client direction as to the final output only.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to conflict of laws principles. This Agreement, including any attached statements of work or schedules, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior agreements and understandings.

Miscellaneous Provisions

Any amendments must be in writing and signed by authorized representatives of both Parties. Notices shall be delivered to the addresses provided below. If any provision is held invalid, the remaining provisions shall remain in full force.
