WHEREAS, Employer operates a business engaged in conducting lawful commercial activities and requires personnel to perform operational services; and

WHEREAS, Employee has represented that Employee has the qualifications, experience and ability to perform the duties described in this agreement and agrees to perform such duties on the terms set forth below;

WHEREAS, the parties intend that Employee shall be a non-exempt employee subject to applicable hourly wage and overtime requirements and shall be paid in accordance with the Payment Terms set forth herein.

Timekeeping and Overtime: Employee shall accurately record all hours worked using Employer's timekeeping system. Overtime shall be paid at the rate specified above for all hours worked in excess of the applicable statutory threshold. Employer will not permit off-the-clock work; any such work must be reported and will be compensated.

Deductions: Employer shall make payroll deductions required by law and any authorized deductions agreed in writing. Final wage payments upon termination shall be made in accordance with applicable law.

Expense Reimbursement: Employee may be reimbursed for preapproved, reasonable business expenses upon submission of required documentation. Reimbursements will be paid on the next regular payroll cycle following approval. Late reimbursement administrative fee (applies only to reimbursements where delay is caused by Employee's failure to timely submit required documentation): .

Notice Period: Either party may terminate this employment by providing written notice of days, except that Employer may terminate immediately for cause including material breach, willful misconduct, gross negligence, or persistent failure to follow reasonable directions.

Final Pay on Termination: Final wages and accrued, vested benefits (if any) will be paid in accordance with applicable law. Employee acknowledges that any return of Employer property is required prior to final settlement.

CONFIDENTIALITY

Employee will not, during or after the term of employment, disclose or use for any purpose other than performance of Employee's duties any Confidential Information of Employer, except as authorized in writing. "Confidential Information" includes trade secrets, customer lists, pricing, business strategies, financial information, and other nonpublic information. This obligation does not apply to information that is or becomes publicly known through no fault of Employee or information required to be disclosed by law or court order, provided Employee gives prompt notice to Employer to allow a protective order or other remedy.
