RECITALS

WHEREAS, Client administers employment services for eligible participants and seeks qualified providers to deliver placement, job coaching, and job retention services; and

WHEREAS, Provider represents that it has the expertise, personnel, licenses and insurance required to perform the services described in this application and service agreement; and

WHEREAS, the parties desire to set forth the terms under which Provider will be engaged to deliver employment services to participants referred by Client.

SCOPE OF WORK

Provider shall furnish employment-related services as described below to participants referred by Client. Provider will comply with Client eligibility and reporting requirements and shall deliver services consistent with professional standards and applicable law.

PAYMENT TERMS

Compensation: Provider will be compensated in accordance with the fee schedule agreed by the parties.

Invoices will be submitted in the form prescribed by Client and must include adequate supporting documentation. Client reserves the right to withhold payment for services not performed in accordance with this Agreement until corrected.

TERM AND TERMINATION

Term: This agreement commences on and continues until , unless earlier terminated in accordance with the terms herein.

CONFIDENTIALITY

Provider will maintain the confidentiality of participant information, Client records and other non-public information disclosed in connection with the services. Provider shall use such information only for performance of this Agreement, shall implement reasonable safeguards, and shall comply with applicable privacy and data protection laws. Provider will not disclose confidential information except as required by law or with Client's prior written consent.

INSURANCE, LICENSES & COMPLIANCE

Provider represents that it maintains all licenses, certifications and insurance required to perform the services. Provider shall maintain commercial general liability and professional liability insurance in amounts adequate to cover risks arising from the performance of services and shall provide certificates of insurance upon request.

BACKGROUND CHECKS & COMPLIANCE

Provider shall ensure that staff who perform direct services have undergone applicable background checks and are authorized to work. Provider will promptly notify Client of any substantiated findings that would affect staff suitability.

WARRANTIES, REPRESENTATIONS AND INDEMNITY

Provider warrants that it is authorized to provide the services described and that services will be performed in a professional manner consistent with industry standards. Provider shall indemnify and hold Client harmless from claims arising from Provider's negligence, willful misconduct or breach of this Agreement, except to the extent caused by Client's own negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This document constitutes the entire agreement between Client and Provider concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

CERTIFICATION AND AUTHORIZATION

By submitting this application, Provider certifies that all information supplied is true and complete to the best of Provider's knowledge and that Provider will comply with all applicable laws, regulations and Client policies applicable to the services provided.
