EMPLOYMENT SECONMENT AGREEMENT

This Employment Secondment Agreement (the "Agreement") is made as of Effective Date: between Seconding Employer Name: with registered address: ("Seconding Employer") and Host Company Name: with registered address: ("Host").

RECITALS

WHEREAS, Seconding Employer employs Employee Name: , who holds the position of ;

WHEREAS, the Host requires the temporary services of the Employee at Host Location: ; and

WHEREAS, the parties wish to set out the terms and conditions pursuant to which the Employee will be seconded by Seconding Employer to the Host.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. SECONDMENT

1.1 Secondment. Seconding Employer shall second the Employee to the Host to perform the duties described in this Agreement and any job description agreed by the parties. The Employee shall during the Secondment be under the management and direction of the Host for day-to-day performance of the Employee's duties, subject to the terms of this Agreement.

1.2 Secondment Term. The Secondment shall commence on and shall continue until , unless earlier terminated in accordance with Section 8.

2. DUTIES, PLACE OF WORK AND SUPERVISION

2.1 Duties. During the Secondment the Employee will perform the role of and will comply with reasonable directions of the Host insofar as they are consistent with this Agreement and the Employee's employment terms with Seconding Employer.

2.2 Place of Work. The Employee's normal place of work during the Secondment shall be .

2.3 Reporting. The Employee shall report to Reporting Manager: , provided that Seconding Employer retains authority over discipline, remuneration and changes to core employment terms unless otherwise expressly agreed in writing.

3. EMPLOYMENT RELATIONSHIP

3.1 Employment Status. The Employee shall remain an employee of the Seconding Employer for all purposes of employment law, social security contributions and statutory entitlements, except where otherwise mandated by applicable law. Nothing in this Agreement shall create a contract of employment between the Employee and the Host.

3.2 Payroll. The parties agree the payroll arrangement shall be: . If the Host will reimburse the Seconding Employer for payroll costs, such reimbursement shall be governed by a separate written schedule agreed by the parties.

4. REMUNERATION AND EXPENSES

4.1 Remuneration. The Employee shall continue to receive remuneration and benefits from the Seconding Employer in accordance with the Employee's existing terms of employment, except as expressly amended in writing. Any additional payments payable by the Host (such as secondment allowance) shall be set out in the payment schedule attached or described below.

5. TAX, SOCIAL SECURITY AND BENEFITS

5.1 Taxes and Contributions. The parties shall cooperate to determine and satisfy obligations for payroll taxes, social security contributions and other statutory payments arising from the Secondment. Unless otherwise required by law, the Seconding Employer shall be responsible for withholding and remitting payroll taxes and statutory contributions for the Employee, subject to reimbursement by the Host where applicable and agreed.

6. CONFIDENTIALITY; INTELLECTUAL PROPERTY

6.1 Confidentiality. The Employee shall comply with the confidentiality obligations of the Seconding Employer and shall execute any reasonable confidentiality undertakings required by the Host. The parties agree that Confidential Information disclosed during the Secondment shall be used solely for the purposes of performing the Employee's duties for the Host and shall not be disclosed except as permitted in writing.

6.2 Intellectual Property. All inventions, developments and works made by the Employee during the Secondment shall be the property of the party agreed in writing prior to creation. Absent a written agreement to the contrary, any work created in the course of the Employee's duties for the Host shall be the Host's intellectual property, subject to any moral rights and applicable employment law.

7. HEALTH, SAFETY AND INSURANCE

7.1 Health and Safety. The Host shall be responsible for providing a safe working environment at the Host workplace and shall ensure the Employee receives appropriate health and safety training and induction. The Employee shall comply with the Host's reasonable health and safety policies while on Host premises.

7.2 Insurance. The Host shall maintain, at its expense, appropriate liability insurance covering acts of the Employee in the course of performance of duties for the Host. The Seconding Employer shall maintain employer's liability and other insurance required by applicable law.

8. TERMINATION

8.1 Termination by Notice. Either party may terminate the Secondment by providing written notice to the other party in accordance with Section 11. The required notice period shall be , unless otherwise agreed in writing.

8.2 Immediate Termination. Either party may terminate the Secondment immediately for cause, including but not limited to gross misconduct, material breach of this Agreement or where continuation would be unlawful.

9. RETURN OF PROPERTY AND POST-SECONDMENT OBLIGATIONS

9.1 Return of Property. On termination or expiry of the Secondment the Employee shall promptly return all property, records, documents and Confidential Information belonging to either party.

10. INDEMNITY AND LIABILITY

10.1 Indemnity. Each party (Indemnifying Party) shall indemnify and hold harmless the other party (Indemnified Party) from and against any loss, liability, damage or expense arising out of the Indemnifying Party's breach of this Agreement, negligence or willful misconduct in connection with the Secondment.

11. NOTICES

11.1 Form of Notice. Any notice or communication under this Agreement shall be in writing and delivered personally, by certified mail, or by recognized overnight courier to the addresses set out below or such other address as a party may designate by notice in writing.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of .

12.2 Entire Agreement. This Agreement, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.

12.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall remain in full force and effect and the parties shall endeavour in good faith to replace the invalid provision with a valid provision achieving the original commercial intent.

13. AMENDMENTS; WAIVER; COUNTERPARTS

13.1 Amendments. No amendment or variation of this Agreement shall be effective unless it is in writing and signed by duly authorised representatives of both parties.

13.2 Waiver. No failure or delay by a party in exercising any right under this Agreement shall operate as a waiver of that right. A waiver must be in writing to be effective.

13.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

14. MISCELLANEOUS PROVISIONS

14.1 Assignment. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate on notice to the other party.

14.2 Relationship of Parties. The relationship of the parties under this Agreement is that of independent contracting parties and nothing in this Agreement shall render the parties partners, joint venturers or employers of one another.
