WHEREAS, the parties desire to set forth the terms under which the Service Provider will provide such services and Participant will cooperate, pay fees where applicable, and comply with program requirements.

SCOPE OF WORK

The Service Provider will deliver individualized work readiness services to the Participant. The specific tasks, milestones, and expected deliverables are set forth below.

PAYMENT TERMS

Unless services are provided at no cost, Participant agrees to the following payment terms. Fees cover the services described in the Scope of Work and any agreed supplemental supports.

TERM AND TERMINATION

This Agreement begins on Start Date: and will continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon Notice Period (days): days' written notice. Service Provider may immediately suspend services if Participant materially breaches obligations, including nonpayment.

CONFIDENTIALITY

Each party shall maintain in confidence all personal, employment, and proprietary information disclosed in connection with this Agreement. Service Provider may collect and store Participant records necessary to provide services; such records will be used only for service delivery, reporting, and placements, and will not be disclosed to third parties except with Participant's written consent or as required by law. Participant expressly consents to Service Provider sharing placement-related information with prospective employers for purposes of job placement.

CONSENT AND CERTIFICATIONS

By signing below Participant certifies that the information provided on this form is true and accurate to the best of Participant's knowledge. Participant authorizes Service Provider to verify employment eligibility, education, and relevant certifications where necessary. Participant acknowledges that falsification may result in termination of services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Service Provider's principal office is located, without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any Scope of Work attachments signed by the parties, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior or contemporaneous understandings, whether written or oral. Any amendment must be in writing and signed by both parties.

ACKNOWLEDGMENT
