What an Energy Audit Agreement Covers

An Energy Audit Agreement is a service contract that defines the scope, responsibilities, schedule, fees, and deliverables for a professional energy audit at a building or facility. It specifies access rights, data collection methods, reporting format, recommended measures, and any implementation or follow-up inspections. The agreement clarifies liability, confidentiality, intellectual property in audit data, and payment terms, and it often includes conditions for rebates, incentive applications, or third-party program participation.

Why a Formal Agreement Matters for Energy Audits

A written Energy Audit Agreement reduces scope confusion, sets expectations for onsite access and data sharing, protects confidential utility or building information, and establishes billing and deliverable timelines. It also supports eligibility for utility rebates and documents responsibilities if implementation follows the audit.

Why a Formal Agreement Matters for Energy Audits

Common parties who prepare or sign this agreement

Typical users include firms and stakeholders that schedule or authorize energy audits.

  • Energy audit firms and independent consultants who deliver measurement, analysis, and recommendations for efficiency improvements.
  • Property owners, facility managers, or tenants who authorize audits, provide site access, and approve expenditures.
  • Utility program managers and government grant administrators who require documented scope and deliverables for funding eligibility.

Each party’s obligations and signature authority should be documented to avoid later disputes.

How to complete the Energy Audit Agreement step by step

Follow these steps to prepare, review, and finalize the agreement with clear responsibilities and timelines.

  • 01
Prepare document: Assemble site details, scope, deliverables, and fee schedule.
  • 02
Schedule inspection: Agree on a date and access provisions with tenants and facility staff.
  • 03
Deliver report: Submit draft, respond to comments, and provide the final report.
  • 04
Sign and archive: Obtain signatures, distribute copies, and store securely.

Operational steps from request to final report

A practical workflow that aligns parties and reduces rework during an energy audit engagement.

01

Request:

Client submits a written audit request or accepts a proposal.
02

Schedule:

Accommodate facility hours and safety constraints when booking.
03

On-site survey:

Collector inspects systems, meters, and records.
04

Data analysis:

Auditor processes measurements and models savings.
05

Draft report:

Share draft for client review and clarification.
06

Final delivery:

Provide signed final report and attachments.

Essential clauses to include in a professional Energy Audit Agreement

These six components form the core of a clear, enforceable audit agreement and reduce future disputes over scope, cost, and data use.

Scope

Define systems, buildings, measurement methods, and exclusions. Be specific about meters, sample areas, and whether invasive testing is permitted.

Deliverables

List report format, required appendices, recommended measures, cost estimates, and any energy-savings calculations or ROI analysis.

Fees & Payment

State fixed fees or rates, invoice schedule, payment terms, and consequences for late payment or cancelled site access.

Access & Cooperation

Document client obligations for site access, utility data authorizations, and provision of building plans or equipment lists.

Confidentiality

Specify handling of utility data, tenant information, and whether the auditor may reuse anonymized data for benchmarking.

Liability & Indemnity

Limitations on damages, indemnities for misrepresented information, and insurance requirements for on-site work.

Security and compliance items to include

Encryption: TLS in transit; AES-256 at rest
Access logs: Detailed audit trail retention
HIPAA readiness: BAA required if PHI involved
Data retention: Specify retention and deletion rules
Authentication: Multi-factor options for sensitive access
Third-party sharing: Consent and permitted recipients outlined

Where to send, review, and store the signed agreement

A concise routing and distribution outline for executing and preserving the agreement.

  • Send to client: Deliver the agreement to the client or authorized representative for review.
  • Client review: Client confirms scope, asks clarifying questions, and requests amendments if needed.
  • Collect signatures: Obtain signatures from authorized signers and any required witnesses or notary.
  • Archive copies: Distribute executed copies to all parties and store as required.

Digital delivery and file-format considerations

Choose platforms and file formats that preserve the signed document, audit trail, and any embedded certificates.

  • Supported formats: PDF and DOCX preserve layout and metadata
  • Integrations: Salesforce, NetSuite, Microsoft 365 support
  • Authentication options: Email link, SMS OTP, or ID verification

Ensure the chosen system captures a tamper-evident audit trail, stores signed copies securely, and supports lawful reproduction for audits or rebate applications.

Typical timelines and contractual deadlines

Common timing items to include so both parties understand scheduling, review, and payment expectations.

Proposal acceptance deadline:

Specify how long the proposal price and terms remain valid.

On-site inspection window:

State number of days from signing to schedule the survey (e.g., within 30 days).

Draft report delivery:

Define when the auditor will provide a draft for client comment.

Final report deadline:

Specify final delivery timeframe after draft acceptance (e.g., 14 days).

Payment due date:

Indicate invoicing schedule and net payment terms (e.g., Net 30).

Common mistakes that delay or invalidate audits

  • Unclear scope or excluded systems, which leads to unexpected costs and scope disputes during inspection and reporting.
  • Failure to secure access to mechanical rooms, meters, or tenant spaces, causing incomplete measurements or rescheduled site visits.
  • Using informal emails as final agreement instead of an executed contract, creating ambiguity for billing and deliverables.
  • Not documenting data-sharing permissions for utility usage or tenant information, which can block rebate or program submissions.

Risks, penalties, and contractual consequences to note

Contractual liability: Damages capped per agreement
Missed deadlines: Liquidated damages or schedule penalties
Rebate denial: Incomplete reports may void incentive eligibility
Data breach: Regulatory fines and reputational harm
Payment disputes: Collections, interest, or work stoppage
Regulatory noncompliance: Local code violations or enforcement
