What an Energy Service Agreement Covers

An Energy Service Agreement (ESA) is a contract between a service provider and a property owner that defines the delivery, financing, operation, and maintenance of energy-related improvements. Typical ESAs allocate responsibilities for project design, installation, measurement and verification of energy savings, payment terms, performance guarantees, and remedies for nonperformance. ESAs may be used for energy efficiency upgrades, renewable installations, or demand‑side management projects and commonly include exhibits for scope, schedules, and pricing details.

Why an ESA Matters to Project Outcomes

An ESA clarifies technical scope, sets measurable performance targets, and allocates financial risk so parties can track savings, manage payments, and resolve disputes without ambiguity.

Why an ESA Matters to Project Outcomes

Who Typically Prepares and Signs an ESA

ESAs are used by a mix of commercial and public-sector stakeholders depending on project scale and financing arrangements.

  • Energy service companies (ESCOs) and contractors that design, install, and guarantee performance metrics.
  • Facility managers and property owners seeking contracted energy savings and capital improvements.
  • Financial sponsors, utilities, or government program administrators providing project funding or incentives.

Responsibility for drafting and final approval usually rests with the ESCO and the owner; finance or legal teams often review before execution.

Who Has Signing Authority

Energy Service Company

Authorized signatory typically an officer or project manager with contract authority. The ESCO signs to bind performance guarantees, warranty obligations, and payment terms, and should have corporate authorization documented in board resolutions or delegation memos.

Property Owner

An authorized owner representative—such as a facilities director or officer—must sign to bind the owner to payments, access rights, and operational obligations; evidence of signing authority helps avoid later disputes.

Core Sections to Include in a Professional ESA

A comprehensive ESA organizes commercial, technical, and legal obligations so performance and payment are enforceable and auditable.

Scope of Services

Describe equipment, retrofit work, and service levels in precise terms, including deliverables, milestones, and drawings so there is no ambiguity about project scope.

Performance Guarantees

State measurable energy savings targets, the calculation method, baseline assumptions, and remedies or payments if guarantees are missed.

Payment Terms

Specify pricing, invoicing schedule, escalation clauses, financing structure, and remedies for late payment or default to reduce payment disputes.

Measurement & Verification

Define M&V protocols (IPMVP or agreed method), reporting frequency, meter requirements, and dispute-resolution procedures for savings calculations.

Term and Termination

Set contract length, renewal options, early termination rights, notice periods, and obligations on termination such as equipment removal or buyout.

Liability and Indemnity

Allocate risk, set insurance minimums, warranty period, and indemnity scope to protect both parties against losses and third‑party claims.

Essential Data Fields to Capture

Party Names: Full legal entity names
Effective Date: MM/DD/YYYY start date
Scope Summary: Concise project description
Payment Details: Amounts, terms, billing cycle
M&V Method: Defined measurement protocol
Signatures: Executor name, title, date

Risks and Consequences of an Incorrect ESA

Enforceability Issues: Ambiguous terms can render obligations unenforceable
Payment Disputes: Vague invoicing triggers withholding or litigation
Performance Shortfalls: Unclear M&V leads to contested savings results
Regulatory Noncompliance: Fails incentive or program requirements
Liability Exposure: Insufficient insurance increases financial risk
Contract Voiding: Improper authority may allow rescission

Common Drafting Mistakes to Avoid

  • Leaving project scope vague or relying on separate diagrams that are not incorporated by reference can lead to disputes over contractor obligations and claim scope.
  • Failing to define baseline energy use and adjustments for occupancy or weather undermines measurement and verification and contestability of savings claims.
  • Not confirming the signatory’s authority or corporate approval can permit a party to later challenge the agreement’s validity or enforceability.
  • Omitting remedies, penalties, or procedures for missed guarantees forces parties into litigation rather than structured dispute resolution or liquidated damages.

How to Complete an Energy Service Agreement

Follow a predictable sequence to reduce errors and speed execution of the ESA.

  • 01
Gather Documents: Collect prior energy data and technical specs
  • 02
Define Scope: Draft detailed scope and deliverables
  • 03
Set M&V: Agree on baseline and measurement method
  • 04
Execute: Obtain authorized signatures and distribute copies

Setting Up an Electronic Signing Workflow

Configure signing order, authentication, and storage to match project approvals and auditing requirements.

Field Configuration
Signature Order Sequential or parallel signing, set role order
Authentication Email link, SMS code, or stronger methods
Reminders Automatic reminders and escalation intervals
Storage Location Designated cloud folder with access controls

Technology and Integration Considerations

Choose a platform that supports required file formats, audit trails, and your organization’s integration needs while meeting compliance obligations.

  • Supported Formats: PDF, DOCX, Excel
  • Integrations: Salesforce, NetSuite, Microsoft 365
  • Authentication: Email, SMS, SSO options

Confirm platform encryption, retention capabilities, and audit logs meet your internal controls and any external program requirements before configuring automated workflows and long‑term storage.

Typical Electronic Execution Workflow

A standard eSigning workflow reduces friction and preserves an audit trail for each signer action.

  • Upload Document: Add final ESA PDF or DOCX to the platform
  • Place Fields: Add signature, date, and initials fields where required
  • Add Signers: Enter signer emails and assign roles
  • Send and Track: Distribute for signature and capture completion evidence

Key Dates and Timing to Specify

Document clear timelines for performance, invoicing, reporting, and termination to avoid disputes and ensure compliance.

Effective and Start Dates:

Specify contract effective date and project start milestone

Performance Milestones:

List installation, commissioning, and acceptance deadlines

Invoicing Schedule:

Define billing intervals and payment due dates

M&V Reporting:

Set periodic reporting cadence (monthly, quarterly)

Termination Notice:

State required notice period (commonly 30–90 days)
