Either party may terminate this Proposal for cause upon written notice if the other party materially breaches any obligation and fails to cure the breach within days after receipt of written notice. Either party may terminate for convenience upon days prior written notice. CONFIDENTIALITY

Consultant and Client each acknowledge that they may receive Confidential Information of the other party. "Confidential Information" means nonpublic technical, financial and business information disclosed in any form. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Proposal; and (c) not disclose Confidential Information to any third party except to employees, subcontractors or agents who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidential obligations shall continue for years following termination.

INSURANCE, LIMITATION OF LIABILITY AND INDEMNITY

Consultant shall maintain professional liability and general liability insurance as appropriate to the services. Consultant's liability for direct damages arising out of its negligence or willful misconduct in the performance of services shall be limited to the total amount of fees paid to Consultant for the services giving rise to the claim. Neither party shall be liable for indirect, consequential or punitive damages. Client shall indemnify and hold Consultant harmless from claims arising from Client-provided data, ownership or design decisions, except to the extent caused by Consultant's gross negligence or willful misconduct.

GOVERNING LAW

This Proposal shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Proposal, including its attachments and referenced documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, representations or agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
