By submitting payment, Client acknowledges that all services and deliverables invoiced were performed in accordance with the governing contract unless otherwise contested in writing within seven (7) calendar days of receipt. Payment is due in full by the Due Date shown above. Late payments shall accrue interest at a rate of 1.5% per month (or the maximum lawful rate, if lower) on any unpaid balance from the Due Date until paid. Client shall be responsible for all collection costs, including reasonable attorneys' fees and expenses.

All drawings, deliverables and reports prepared by the Issuer remain the property of the Issuer and are subject to payment in full; upon receipt of final payment Issuer grants Client a non-exclusive, non-transferable license to use deliverables for the Project only. Issuer disclaims all warranties except those expressly set forth in the controlling agreement. In no event shall Issuer's liability for any claim arising out of or relating to the services exceed the total compensation actually received by Issuer for the work giving rise to such claim. Issuer shall not be liable for consequential, special, incidental, punitive or exemplary damages.

Client is responsible for all taxes, duties, fees, and assessments arising from the services and this invoice, excluding Issuer's income taxes. Any disputes regarding invoiced amounts must be submitted in writing and include supporting documentation within fourteen (14) days of receipt. Governing law: laws shall govern interpretation and enforcement.
