What an Engineering Power Agreement Covers

An Engineering Power Agreement is a formal contract that defines the scope, authority, and obligations granted to an engineer or engineering firm to act on behalf of an owner or client for a specific project or series of tasks. Typical content includes scope of services, delegated decision-making authority, deliverables, schedule and milestones, compensation and payment terms, liability and indemnification, intellectual property ownership, confidentiality, and termination/renewal provisions. The agreement clarifies who may sign technical submittals, approve changes, and represent the client in regulatory or permitting interactions.

Why use a dedicated Engineering Power Agreement

A clear Engineering Power Agreement reduces ambiguity about who can make technical or contractual decisions, helps manage project risk, and documents authority for permitting, inspection, and subcontractor coordination.

Why use a dedicated Engineering Power Agreement

Typical parties who prepare or sign this agreement

The agreement is used by public and private owners, engineering consultants, contractors, and design-build firms when formal authority must be assigned for engineering tasks.

  • Owner representatives managing delegated authority for permits and approvals
  • Licensed engineers and engineering firms accepting defined decision-making roles
  • General contractors requiring engineers to sign submittals and coordinate inspections

Use a tailored version when the engineer needs explicit signing authority for permits, change orders, or site instructions; otherwise, keep authority limited and well-defined.

Who typically signs and their roles

Client / Owner

The client or owner is the party delegating authority to the engineer. Their representative signs to confirm the delegated scope, limits of authority, and any approval thresholds. The agreement should specify whether the owner retains final contract or budget approval.

Licensed Engineer

A licensed professional or engineering firm signs to accept the delegated powers, acknowledge professional responsibilities and licensure obligations, and agree to comply with applicable codes, permitting, and insurance requirements.

Core clauses to include in an Engineering Power Agreement

Cover these six elements to create a usable, enforceable agreement that limits ambiguity and documents delegated authority.

Scope of Services

Precisely describe services, deliverables, and any excluded tasks. Tie technical deliverables to review cycles and acceptance criteria so the engineer’s authority maps to specific actions and documents.

Delegated Authority

List specific powers granted (e.g., signing submittals, approving shop drawings, issuing field directives), plus monetary or schedule thresholds above which owner approval is required.

Compensation Terms

State fixed fees, hourly rates, reimbursement rules for expenses, and payment milestones. Clarify invoicing format and dispute-resolution timing to avoid payment delays.

Liability & Insurance

Define indemnity scope, limits of liability, and required insurance coverages (professional liability, general liability) including minimum policy amounts and proof of insurance delivery.

Intellectual Property

Address ownership of drawings, models, and calculations. Specify license rights for the owner and any restrictions on reuse by third parties.

Termination & Remedies

Set termination for convenience and cause, notice periods, and post-termination obligations such as final deliverables, record transfer, and outstanding payment reconciliation.

Step-by-step: filling and finalizing the agreement

Follow these steps in sequence to prepare a complete, signed agreement suitable for project use and recordkeeping.

  • 01
Drafting: Assemble scope, authority, and exhibits.
  • 02
Internal review: Have legal and insurance teams confirm clauses and limits.
  • 03
Signatures: Collect signatures and dates from all parties.
  • 04
Distribution: Provide signed copies to stakeholders and file for records.

How to set up an online signing workflow

Configure the digital workflow so signers receive forms, authenticate, sign fields, and get copies automatically.

Field Configuration
Upload Document Use PDF or DOCX; confirm exhibits are attached
Place Fields Add signature, date, and checkbox fields where required
Authentication Choose email, SMS, or higher-assurance methods
Routing Set signing order and notification recipients

Where to send or file the signed agreement

Determine routing and retention: project file, owner records, engineer’s office, and any permitting authorities when signatures are used for permit submissions.

  • Owner Records: File signed original in owner project folder
  • Engineer Files: Retain a signed copy with project deliverables
  • Permitting Agency: Submit signed document if required for permit approvals
  • Contractor/CM: Provide signed authority to subcontractors as needed

Digital signing and technical needs

Confirm the platform meets legal and industry requirements for authentication, retention, and any privacy obligations before eSubmission.

  • File Types: PDF and DOCX supported
  • Integrations: Works with CRMs and cloud storage
  • Security: TLS/AES encryption enabled

Typical timing and notice periods to include

Set clear timelines for performance, approvals, change orders, and notice periods to avoid disputes and administrative delay.

Effective Date and Term:

Defines when authority starts and the agreement expires

Notice to Cure:

Time allowed for remediation before termination

Payment Milestones:

Due dates for invoice submission and owner payment

Change Order Response:

Deadline for accepting or contesting changes

Record Transfer:

Deadline to deliver final documents after termination

Common preparation mistakes to avoid

  • Vague authority language that fails to list specific duties or monetary limits, creating disputes over scope and liability.
  • Mismatched names or missing license numbers for the engineer, which can invalidate approvals or interfere with permitting.
  • No insurance or indemnity specifics, leaving parties unsure of coverage required for professional negligence claims.
  • Failure to attach or reference key exhibits such as drawings, schedules, or fee tables, making deliverables ambiguous.

Risks and potential consequences of errors

Contract Disputes: Ambiguous authority may cause breach claims or project delays
Regulatory Rejection: Permits may be rejected if signer lacks proper license or notarization
Insurance Gaps: Inadequate coverage can expose parties to uncovered claims
Invalid Approvals: Incorrectly delegated sign-off can be voided by owner or regulator
Cost Overruns: Unclear change order authority may increase dispute-driven costs
Reputational Harm: Professional misconduct or errors may affect licensing and referrals
