ENGINEERING SUPPORT AGREEMENT

This Engineering Support Agreement (the Agreement) is entered into as of Effective Date: between Client Name: located at Address: , and Service Provider Name: located at Address: .

RECITALS

WHEREAS, Client requires engineering support services to assist with design review, technical analysis, and implementation oversight for Client projects; and

WHEREAS, Service Provider represents that it has the technical expertise, personnel, and resources to perform the engineering support services described herein and is willing to provide such services to Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services, compensation, confidentiality, and allocation of risk.

SCOPE OF WORK

The Service Provider shall perform the services in a professional and workmanlike manner in accordance with generally accepted industry standards. Any changes to the scope of work shall be documented and approved in writing by both parties as a Change Order signed by authorized representatives of Client and Service Provider.

PAYMENT TERMS

Invoices shall itemize services rendered and reasonable out-of-pocket expenses. Client shall pay undisputed amounts within the period specified in Billing Schedule. Disputed items shall be raised promptly and resolved in good faith. All payments are exclusive of taxes; Client shall be responsible for any sales, use or other taxes imposed on payments, except taxes based on Service Provider's income.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination, including reasonable wind-down costs. Termination shall not affect accrued rights or liabilities.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical, financial or other information disclosed by one party (Disclosing Party) to the other (Receiving Party) in oral, written or electronic form and designated as confidential or that reasonably should be understood to be confidential. Receiving Party shall: (a) use Confidential Information solely to perform under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to third parties except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality at least as protective as this clause.

Confidential Information does not include information that: (i) is or becomes publicly available other than by breach of this Agreement; (ii) is rightfully received from a third party without restriction and without breach of a confidentiality obligation; (iii) is independently developed without use of the other party's Confidential Information; or (iv) is required to be disclosed by law or order of a court or tribunal, provided Receiving Party gives prompt notice and cooperates to seek protective measures.

INTELLECTUAL PROPERTY

Unless otherwise agreed in a written statement of work, Service Provider retains ownership of its pre-existing tools, software, methodologies and know-how. Subject to full payment, Service Provider grants Client a non-exclusive, non-transferable license to use deliverables provided under this Agreement for Client's internal purposes. Any third-party components used will be subject to their respective licenses and Client shall comply with such license terms.

LIMITATION OF LIABILITY AND INDEMNIFICATION

Each party's liability arising out of or related to this Agreement shall be limited to direct damages and shall not exceed the total amount paid to Service Provider under this Agreement in the twelve (12) months preceding the claim. Except for breaches of confidentiality, gross negligence, willful misconduct, or liability for personal injury or death, neither party shall be liable for indirect, incidental, special or consequential damages. Service Provider shall indemnify Client for third-party claims arising from Service Provider's negligence or willful misconduct in performing the services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Governing State specified above, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the chosen jurisdiction for any action arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attached statements of work, exhibits and Change Orders signed by both parties, constitutes the entire agreement between Client and Service Provider with respect to the subject matter and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

MISCELLANEOUS

Assignment. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Subcontracting. Service Provider may subcontract portions of the work so long as it remains responsible for performance and compliance with this Agreement.
