Entertainment Actor Agreement

This Entertainment Actor Agreement ("Agreement") is made as of by and between Producer Name: , and Actor Name: . The parties agree as follows.

RECITALS

WHEREAS, Producer is producing a motion picture, television program, commercial, or other audiovisual production entitled Production Title: (the "Production"); and

WHEREAS, Producer desires to engage Actor to render services in connection with the Production on the terms and conditions set forth in this Agreement; and

WHEREAS, Actor represents that Actor has the requisite experience, ability and authority to grant the rights and perform the services described in this Agreement.

SCOPE OF WORK

Services to be provided by Actor and the scope of Actor's engagement are described below. Actor shall perform professional acting services, including rehearsals and promotional appearances as reasonably requested by Producer.

PAYMENT TERMS

In consideration of the services rendered by Actor, Producer shall pay Actor the following compensation.

Late payment shall accrue interest at the rate of on any undisputed balance not paid when due. Unless otherwise stated, Producer will make payments by the method set forth in Payment Schedule. Actor shall be responsible for all personal income taxes unless otherwise agreed in writing.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Producer may terminate this Agreement without cause upon written notice to Actor; in such event Producer's sole obligation shall be to pay Actor for services performed through the effective date of termination and any unpaid accrued amounts.

CONFIDENTIALITY

Actor acknowledges that Producer's scripts, production materials, casting decisions, budgets and other proprietary information are confidential. Actor shall not disclose any Confidential Information to third parties during the Term and for a period of two (2) years following termination of this Agreement, except as required by law. Confidential Information does not include information that is or becomes public through no breach by Actor.

RIGHTS AND LICENSE

Actor hereby irrevocably grants and assigns to Producer and its successors and licensees all rights in and to Actor's performance, name, likeness, voice, and biographical material embodied in the Production, in all media now known or hereafter devised, throughout the universe in perpetuity, including the right to edit, exploit, distribute, sublicense and otherwise use the Performance for any purpose. Actor waives any "moral rights" or artist's rights to the extent permitted by applicable law.

CREDIT

If Actor is entitled to on-screen credit, Producer will use reasonable efforts to provide credit in accordance with industry practice. The form, placement and size of credit are at Producer's discretion and subject to the Production's credit policy.

INSURANCE, REPRESENTATIONS & INDEMNIFICATION

Producer shall maintain production insurance customary for productions of similar scope. Actor represents and warrants that Actor has the legal right and capacity to enter into this Agreement and that performance will not violate any agreement with a third party. Actor shall indemnify and hold Producer harmless from any claims arising from Actor's breach of representations, willful misconduct, or negligence. Producer shall indemnify Actor from claims arising from Producer's gross negligence or willful misconduct in connection with the Production.

EXPENSES AND REIMBURSEMENT

Producer will reimburse Actor for pre-approved, reasonable expenses incurred directly in connection with the Performance, subject to Producer's reimbursement policies and submission of receipts. Reimbursable items:

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Agreement, together with any attached schedules or exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof, superseding all prior negotiations and agreements, and may be amended only by a written instrument executed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Producer may assign to an affiliate or successor without Actor's consent in connection with the sale or financing of the Production.
