What an Entertainment Arcade Agreement Covers

An Entertainment Arcade Agreement is a written contract that defines the commercial relationship between an arcade operator and a property owner, equipment vendor, or third-party operator. It sets out the scope of operations, revenue share or lease terms, responsibilities for maintenance and repairs, permitted hours, insurance and safety obligations, and dispute-resolution mechanisms. The agreement can also address licensing for coin-operated machines, arcade game placement, subletting restrictions, and compliance with local zoning and permitting rules. Properly drafted, it reduces ambiguity about revenue flows, risk allocation, and termination mechanics for both parties.

Why a Clear Agreement Matters for Arcades

A clear Entertainment Arcade Agreement protects both operators and landlords by allocating revenue, maintenance duties, and liability. It reduces disputes, clarifies tax and licensing responsibilities, and documents consent for equipment and signage.

Why a Clear Agreement Matters for Arcades

Who Typically Prepares and Signs This Agreement

Several parties commonly prepare or sign an Entertainment Arcade Agreement depending on the business model and venue.

  • Arcade operators and management teams who operate coin- or token-based entertainment venues and manage game placement and maintenance.
  • Property owners and landlords granting space in shopping centers, malls, or entertainment complexes and controlling zoning and lease terms.
  • Equipment vendors or suppliers who install, service, or finance arcade machines and need clear payment and liability terms.

Each signer should have authority to bind their organization and confirm insurance, tax, and local permit compliance before execution.

Step-by-step: How to Complete the Agreement

Follow these core steps to prepare, review, and execute an Entertainment Arcade Agreement accurately.

  • 01
Prepare draft: Gather party names, venue address, and proposed revenue terms.
  • 02
Review terms: Confirm insurance, maintenance, and liability allocations with counsel.
  • 03
Authorize signers: Verify who can legally sign for each party and obtain IDs.
  • 04
Execute: Sign, date, and notarize if required by state or lender.

Essential clauses every Entertainment Arcade Agreement should include

A comprehensive agreement organizes responsibilities, protects revenue streams, and defines remedies. The following components are central to enforceability and operational clarity.

Parties

Identify each legal entity with full legal names, addresses, and contact information; include parent companies or guarantors if applicable for financial assurance.

Term and Termination

State the contract length, renewal conditions, cure periods, and termination rights for breach or insolvency, including interim operations during notice periods.

Revenue and Payments

Detail revenue share formulas or fixed rent, invoicing cadence, audit rights, acceptable payment methods, late fees, and reconciliation procedures.

Maintenance and Repairs

Allocate responsibilities for machine upkeep, parts replacement, routine cleaning, and who bears costs for vandalism or force majeure events.

Insurance and Liability

Specify required insurance types and limits, naming the landlord as an additional insured when appropriate, and describe indemnity and limitation of liability clauses.

Compliance and Licensing

Require operator compliance with local permits, safety rules, coin/token regulations, and any applicable amusement device statutes or consumer-protection laws.

Common drafting and execution mistakes to avoid

  • Using informal names or nicknames instead of the parties' legal entity names, which can invalidate enforcement or create tax mismatches.
  • Vague revenue language such as 'split profits' without a defined accounting method, reconciliation process, or audit right for verification.
  • Failing to specify maintenance responsibilities and response times for broken or malfunctioning machines, leading to disputes over downtime losses.
  • Not confirming whether local permits, zoning, or amusement device licenses are required for operation, which can result in fines or shutdowns.

Typical operational workflow after agreement execution

A clear post-execution workflow prevents revenue controversy and ensures compliance from day one.

  • Install: Vendor installs machines and records serials.
  • Open: Operator commences operations on effective date.
  • Collect: Daily reconciliation and revenue reporting occurs.
  • Audit: Periodic audits verify payments and compliance.

Real-world examples of how agreements are used

Two illustrative scenarios show typical commercial arrangements and outcomes.

Mall Arcade Operator

A small operator licensed space in a shopping center with a 60/40 revenue split in favor of the landlord

  • Revenue reconciliations occurred monthly with audit rights
  • The clear maintenance schedule and indemnity clause reduced disputes and expedited machine servicing, preserving mall relationships.

Vendor-Owned Machines

A vendor supplied and maintained machines under a revenue-share consignment model

  • The vendor retained title until equipment buyout
  • Explicit equipment inventory and removal terms avoided claims at contract termination and ensured timely removal.
