ENTERTAINMENT ARTIST ENGAGEMENT AGREEMENT

This Entertainment Artist Engagement Agreement ("Agreement") is made effective as of , by and between Artist Name: with a primary address at , and Engager/Promoter Name: with a principal place of business at (collectively, the "Parties").

RECITALS

WHEREAS, Artist is a professional performing artist engaged in the business of providing musical and/or entertainment performances; and

WHEREAS, Engager operates venues, concert promotions or events and desires to engage Artist to perform under the terms set forth herein; and

WHEREAS, the Parties wish to set forth the terms and conditions of such engagement to avoid ambiguity and to allocate rights and obligations.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein, the Parties agree as follows:

1. ENGAGEMENT

Engager hereby engages Artist to render a live performance (the "Performance") and Artist accepts such engagement on the date(s), at the location, and for the compensation set forth in this Agreement. The Performance shall take place at Venue: .

2. PERFORMANCE DATE AND SCHEDULE

3. COMPENSATION AND PAYMENT

4. TECHNICAL RIDER, EQUIPMENT AND CREW

Engager shall provide all sound, lighting and stage personnel reasonably required to present the Performance in a professional manner. Any variance from the Rider that materially affects the Performance shall entitle Artist to an equitable adjustment to compensation or cancellation as set forth in Section 6.

5. MERCHANDISING, RECORDING AND RIGHTS

(a) Merchandising: Rights to sell merchandise at the Venue shall be: Artist only    Shared (specify below)

(b) Recording and Broadcast: No audio or audio-visual recording, broadcast or transmission of the Performance is permitted without Artist's prior written consent. If permitted, Engager must obtain such consent in writing and compensate Artist as mutually agreed.

6. CANCELLATION; FORCE MAJEURE

(a) Cancellation by Engager: If Engager cancels the Performance for reasons other than force majeure, Engager shall pay Artist cancellation fees equal to the Deposit plus a pro rata portion of the balance, unless otherwise agreed in writing.

(b) Force Majeure: Neither Party shall be liable for failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, governmental action, epidemics, strikes, inclement weather that renders the venue unsafe, or other force majeure events. The affected Party shall notify the other and use commercially reasonable efforts to reschedule. If rescheduling is not reasonably possible within 90 days, either Party may terminate this Agreement without further liability except for amounts accrued prior to the force majeure event.

Artist is an independent contractor. Nothing in this Agreement shall create an employment, agency, joint venture, or partnership relationship between the Parties. Artist retains sole control over the manner and means of performing the services subject to Engager's reasonable technical and show-run requirements.

9. INSURANCE AND LIABILITY

Engager shall maintain general liability insurance covering the event with minimum limits of liability acceptable to Artist and shall list Artist as an additional insured with respect to claims arising from the event. Proof of insurance shall be provided to Artist no later than , .

10. INDEMNIFICATION

Each Party (the "Indemnitor") shall indemnify, defend and hold harmless the other Party (the "Indemnitee") from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the Indemnitor's breach of this Agreement, negligence, willful misconduct, or violation of applicable law, except to the extent such claims arise from the Indemnitee's own negligence or willful misconduct.

11. CONFIDENTIALITY

The Parties agree not to disclose confidential business information of the other Party revealed in connection with this Agreement, including but not limited to compensation terms, Rider details and proprietary promotional plans, except as required by law. This obligation survives termination for a period of two (2) years.

12. PUBLICITY

Either Party may use the other's name, trademarks and logo in promotional materials relating to the Performance, subject to the other's prior approval, which shall not be unreasonably withheld. Artist shall be given credit as the performing artist on all promotional materials where practical.

13. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or personal delivery. Notices to Artist:

14. ASSIGNMENT

Neither Party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other Party, except that Engager may assign this Agreement in connection with a sale of substantially all of Engager's assets or an assignment to an affiliated entity so long as such assignee assumes all obligations hereunder.

15. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both Parties. No waiver of any breach or failure to enforce any provision shall be deemed a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

16. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Venue is located, without regard to conflicts of law principles. This Agreement contains the entire understanding of the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. MISCELLANEOUS PROVISIONS

Headings are for convenience only and shall not affect interpretation. The Parties agree to cooperate and execute additional documents necessary to give full effect to this Agreement.
