ENUMERATOR SERVICE CONTRACT

This Enumerator Service Contract (the "Agreement") is made effective as of Effective Date: by and between Client Name: , whose principal place of business is Client Address: (hereinafter "Client"), and Enumerator Name: , whose address is Enumerator Address: (hereinafter "Enumerator").

RECITALS

WHEREAS, Client conducts surveys and data collection activities and requires trained personnel to perform field enumeration services; and

WHEREAS, Enumerator represents that Enumerator has the qualifications, training, and ability to perform enumerator services in accordance with Client's protocols and applicable law; and

WHEREAS, the parties desire to set forth the terms and conditions under which Enumerator will perform enumerator services for Client.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. SERVICES

1.1 Scope. Enumerator shall provide enumeration services described in the Service Description below and shall perform such services professionally, in accordance with the schedules, protocols, and quality standards provided by Client.

Service Description

1.2 Performance Standards. Enumerator shall (a) follow Client-provided interview instruments and scripts; (b) obtain informed consent as required; (c) complete field reports and data entry with accuracy and timeliness; and (d) preserve the confidentiality of respondent information.

2. TERM

2.1 Term. This Agreement shall commence on the Effective Date and continue until completion of the Services unless earlier terminated in accordance with Section 11.

2.2 Extension. Any extension of the Term shall be by written amendment executed by both parties.

3. COMPENSATION AND EXPENSES

3.1 Fees. Client shall pay Enumerator fees as set forth below. Rates may be expressed per interview, per hour, or per deliverable as agreed in writing.

4. INDEPENDENT CONTRACTOR; NO EMPLOYMENT

4.1 Independent Contractor. Enumerator is an independent contractor and not an employee, agent, or legal representative of Client. Enumerator shall be responsible for all taxes, withholdings, and other statutory obligations arising from the fees paid under this Agreement.

5. CONFIDENTIALITY AND DATA PROTECTION

5.1 Confidential Information. Enumerator acknowledges that Enumerator may receive confidential and sensitive information, including personal data of respondents. Enumerator shall not disclose, use, or permit use of such information except as necessary to perform the Services and as permitted by Client in writing.

5.2 Data Handling. Enumerator shall implement appropriate technical and organizational measures to protect personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage. Enumerator shall comply with applicable data protection laws and Client's data security policies.

6. INTELLECTUAL PROPERTY

6.1 Work Product. All data, reports, interview recordings, transcripts, and other deliverables created or collected by Enumerator in performance of the Services shall be the exclusive property of Client. Enumerator hereby assigns to Client all right, title and interest in such work product, subject to any preexisting rights of third parties.

7. INSURANCE

7.1 Insurance. Enumerator shall maintain, at Enumerator's expense, general liability insurance and workers' compensation insurance (if required) in amounts sufficient to cover liabilities that may arise from performance of the Services. Enumerator shall provide certificates of insurance upon Client's request.

8. INDEMNIFICATION

8.1 Indemnity by Enumerator. Enumerator shall indemnify, defend and hold harmless Client and its officers, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Enumerator's breach of this Agreement, negligent acts, willful misconduct, or violation of law in connection with performance of the Services.

9. TERMINATION

9.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon written notice to the other party specifying the effective date of termination.

9.2 Termination for Cause. Either party may terminate this Agreement immediately for material breach by the other party that remains uncured for a period of ten (10) days after written notice specifying the breach.

9.3 Effect of Termination. Upon termination, Enumerator shall promptly deliver to Client all work product and Client shall pay Enumerator for Services performed and documented expenses incurred through the effective date of termination, subject to offsets for damages resulting from Enumerator's breach.

10. COMPLIANCE WITH LAWS

10.1 Lawful Conduct. Enumerator shall comply with all applicable federal, state and local laws, rules and regulations in the performance of the Services, including laws governing employment, privacy, and data protection.

11. NOTICES

11.1 Method. All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and addressed to the parties at their addresses set forth below or to such other address that a party may specify in writing.

12. AMENDMENT; WAIVER

12.1 Amendment. This Agreement may be amended or modified only by a written instrument executed by both parties.

12.2 Waiver. No waiver of any breach or right under this Agreement shall be effective unless in writing and signed by the party waiving compliance.

13. GOVERNING LAW; VENUE
