3. Whereas the parties intend that this Questionnaire and any subsequent agreement govern the exchange of information, assignment of responsibilities, payment terms and confidentiality obligations between Client and Consultant.

SCOPE OF WORK

The Consultant will perform the services described below subject to the terms set forth in this Questionnaire and any subsequent agreement.

PAYMENT TERMS

Client agrees to pay Consultant for services performed under this Questionnaire according to the following terms. Fees cover labor, standard laboratory analyses if specified in the Scope of Work, and routine reporting costs. Additional services, extraordinary sampling, or regulatory negotiation will be billed separately at rates set forth in the consulting engagement.

TERM AND TERMINATION

The term of services contemplated by this Questionnaire shall commence on the Start Date and continue until the End Date or completion of the Scope of Work, unless terminated earlier in accordance with this section.

Either party may terminate for cause upon material breach by the other party if such breach is not cured within the notice period specified above. Upon termination, Consultant shall be entitled to payment for all services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

All non-public information exchanged between the parties in connection with this Questionnaire and the Scope of Work shall be treated as confidential. Consultant shall not disclose confidential information to third parties except as necessary to perform services or as required by law or regulation. Confidential information shall exclude information that is or becomes public through no fault of the receiving party, independently developed by the receiving party without use of the other party’s confidential information, or rightfully received from a third party without restriction.

Consultant may disclose assessment findings to regulatory authorities if disclosure is required by law; in such case Consultant will use reasonable efforts to provide Client advance notice where lawful and practicable.

GOVERNING LAW

This Questionnaire and any resulting services shall be governed by and construed in accordance with the substantive laws of the jurisdiction selected by the parties. Any dispute arising hereunder shall be resolved through the dispute resolution mechanism agreed between the parties prior to filing suit.

ENTIRE AGREEMENT

This Questionnaire, together with any appendices, attachments and the written scope and fee terms subsequently agreed in writing by the parties, constitutes the entire agreement between Client and Consultant with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

CERTIFICATION

The undersigned certifies that the information provided in this Environmental Assessment Questionnaire is true and accurate to the best of their knowledge, and that all material facts known to the undersigned that could affect the environmental condition of the subject property have been disclosed.
