The Contractor shall perform the following activities to prevent pollution at the Site. The Scope shall include identification of pollutant sources, controls to be implemented, schedules for implementation, and acceptance criteria for completed measures.

MONITORING, INSPECTIONS & RECORDKEEPING

The Contractor shall establish and implement monitoring and inspection procedures to verify BMP effectiveness and compliance. Records shall be maintained and made available to the Client upon request.

CORRECTIVE ACTIONS & EMERGENCY RESPONSE

Procedures for prompt remedial action, containment, cleanup, and notification in the event of a release or nonconformance.

PAYMENT TERMS

Compensation for implementation of the Plan shall be as set forth below. Payments do not relieve the Contractor of obligations under this Plan.

TERM AND TERMINATION

This Plan shall commence and remain in effect as provided below. Either Party may terminate for material breach following applicable notice and cure periods.

Termination for Cause: Either Party may terminate immediately if the other Party commits willful or repeated violations of this Plan that materially increase the risk of contamination or legal liability, provided that the terminating Party has given written notice describing the breach and a reasonable opportunity to cure where cure is feasible.

CONFIDENTIALITY

Each Party shall retain in confidence all non-public technical, financial, and operational information disclosed in connection with this Plan. Confidential information shall not be used except to perform obligations under this Plan and shall be disclosed only to those employees, contractors, or agents with a need to know who are bound to confidentiality obligations at least as protective as those herein. Confidentiality obligations survive termination for a period of three (3) years, except for information required to be retained by law.

GOVERNING LAW; COMPLIANCE

This Plan shall be governed by the laws of the jurisdiction identified below without regard to conflict-of-law principles. The Parties shall comply with all applicable environmental statutes, regulations, permits, and local ordinances.

ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Plan, together with any referenced attachments and schedules executed by the Parties, constitutes the entire agreement with respect to the subject matter and supersedes prior agreements and understandings. No modification shall be effective unless in writing and signed by authorized representatives of both Parties. If any provision is held invalid, the remaining provisions shall continue in full force and effect.

By signing below, each Party certifies that it has authority to enter this Plan, has reviewed the Plan in its entirety, and accepts responsibility for implementing and funding the controls for which it is assigned.
