Recitals

WHEREAS, Client requires professional environmental soil investigation, sampling, laboratory analysis and a written Environmental Soil Report describing findings and recommended remedial actions; and

WHEREAS, Consultant represents that it possesses the necessary qualifications, personnel, equipment and licenses to perform the services described in this agreement in accordance with industry standards; and

WHEREAS, the parties desire to set forth their respective rights, duties and obligations with respect to the preparation and delivery of the Environmental Soil Report on the terms set forth herein.

Scope of Work

Consultant shall perform the following work, which shall constitute the Scope of Work for this Agreement. Consultant shall use methodologies consistent with prevailing professional standards for environmental site assessment and soil analysis.

Deliverables and Acceptance

Consultant will deliver a written Environmental Soil Report that includes field procedures, sampling locations, laboratory results, interpretation of findings, and recommendations for any necessary remedial actions. Delivery format: electronic and one bound paper copy unless otherwise agreed in writing.

Payment Terms

Client shall pay Consultant the fees and expenses set forth below in accordance with the schedule. Fees do not include third-party laboratory costs or required permitting fees unless expressly stated.

Term and Termination

This Agreement shall commence on the date set forth below and shall continue until completion of the Scope of Work unless earlier terminated as provided herein.

Either party may terminate this Agreement for cause upon material breach of the other party that is not cured within the notice period above. Termination shall not relieve Client of its obligation to pay for services performed and costs incurred prior to termination.

Confidentiality

Each party shall maintain in confidence all non-public technical or business information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential. Confidential information does not include information that is publicly available, lawfully received from a third party without restriction, independently developed without use of Confidential Information, or required to be disclosed by law or regulation (provided the disclosing party provides prompt notice to the other party where legally permissible).

Indemnification and Liability

Consultant shall indemnify and hold Client harmless from claims arising solely from Consultant's gross negligence or willful misconduct in performing the Scope of Work. Client shall indemnify Consultant from claims arising from Client's use of deliverables or from Client's breach of this Agreement. Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability to the other for claims arising under this Agreement shall be limited to direct damages not to exceed the total fees paid to Consultant under this Agreement.

Insurance

Consultant shall maintain professional liability insurance and commercial general liability insurance in amounts customary for the industry. Upon request, Consultant will provide certificates of insurance evidencing such coverage.

This Agreement shall be governed by and construed in accordance with the laws of:

This Agreement, including any attachments, exhibits and referenced proposals signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations and understandings. Any modification must be in writing and signed by both parties.
