Confidential information shall not include information that is publicly known, rightfully received from a third party without restriction, or independently developed.

The Assessor may disclose Confidential Information as required by law provided that, to the extent permitted, the Assessor gives prior notice to Client and cooperates with Client to seek confidential treatment or other protection.

GOVERNING LAW

This Assessment shall be governed by and construed in accordance with the laws of the State of without regard to conflicts-of-law principles.

ENTIRE AGREEMENT

This document, including any attachments and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions and agreements, whether written or oral.

Assessor certifies that the assessment was conducted in a professional manner consistent with applicable industry standards and that findings included in this Assessment are true and accurate to the best of Assessor's knowledge.
