What the Equipment and Fixtures Agreement covers

The Equipment and Fixtures Agreement is a written contract that documents transfer, lease, or security interests in business equipment and fixtures attached to real property. It identifies the parties, itemizes equipment and fixtures, records condition and location, and sets terms for payment, delivery, maintenance, and risk of loss. The agreement may include warranty disclaimers, lien waiver language, UCC-1 financing statement obligations, and default or remedy provisions. Parties use this document to avoid disputes over ownership, to support tax and accounting treatment, and to establish priority for creditors under the Uniform Commercial Code.

Why a clear agreement reduces future disputes

A clear Equipment and Fixtures Agreement reduces ownership disputes, clarifies maintenance and payment obligations, and protects lien and security interests. It documents asset condition for accounting and tax compliance, supports enforcement of remedies, and helps establish priority under UCC rules.

Why a clear agreement reduces future disputes

Typical users and when they use the agreement

Lenders, lessors, buyers, landlords, and businesses completing asset transfers or securing financing commonly use this agreement to document rights and obligations.

  • Commercial lenders documenting collateral and perfection steps, often requiring UCC-1 filings and precise equipment descriptions.
  • Buyers or sellers completing sale-of-assets transactions who need transfer records, warranties, and delivery terms.
  • Landlords and tenants documenting fixtures, attachments, and removal rights during lease or tenancy.

Use the agreement to reduce disputes and support financing or property transfer records with clear, signed documentation.

Who can sign on behalf of a party

Corporate Officer

A duly authorized corporate officer (CEO, CFO, or COO) can sign for a corporation when board resolutions or bylaws grant signing authority. Verify authority with corporate minutes or a board resolution to avoid later challenges to enforceability.

Authorized Agent

An authorized agent or manager may sign on behalf of a business under a power of attorney or delegated authority. Documentation of the delegation should be attached to the agreement to confirm scope and duration of signing rights.

Essential fields required in the agreement

Parties: Buyer and seller full names
Equipment List: Serial numbers, model, quantity
Location: Physical address where items remain
Consideration: Purchase price or lease terms
Warranties: Any express or limited warranties
UCC Filing: If secured, UCC-1 notice required

Core sections to include in a professional agreement

A professional Equipment and Fixtures Agreement should include clear descriptions, performance obligations, default remedies, security language, and exhibits supporting transfer and financing terms.

Identification

Itemize each piece of equipment and fixture with serial numbers, model numbers, current condition, installation date, and exact location to avoid later disputes about what was transferred or remains affixed.

Payment Terms

Specify price, deposit, payment schedule, late fees, taxes, and whether payments secure a financing statement; include mechanics for acceptance, inspection period, and remedies for nonpayment.

Security Interest

Describe any security interest, describe collateral, require debtor cooperation for UCC-1 filings, state repayment triggers, and outline remedies including repossession and sale under UCC procedures.

Warranties

State express warranties, disclaimers of implied warranties where lawful, maintenance obligations, and procedures for warranty claims, repairs, including response times and approved vendors.

Risk Allocation

Allocate risk by specifying when title passes, who bears risk of loss during transport or installation, insurance requirements, and responsibilities for theft or damage and proof of coverage.

Default & Remedies

Define events of default, cure periods, acceleration rights, repossession procedures, and rights to recover costs, attorneys' fees, and damages after judicial or nonjudicial remedies as provided.

Step-by-step completion checklist

Follow these steps to complete an Equipment and Fixtures Agreement accurately and reduce later enforcement issues.

  • 01
Prepare Details: List each item with serials and location.
  • 02
Set Terms: Describe payment, delivery, and maintenance obligations.
  • 03
Address Security: Add UCC and financing statement steps.
  • 04
Sign & File: Obtain signatures, notarize if required, and file UCC-1.

Configuring an online template and automated workflow

Configure an online template to capture equipment details, automate UCC notices, and route for signatures and filing.

Template Field and Form Configuration Settings Field name and validation settings
Equipment Description Field (text area) Text field, required, enable Magic Fields for auto-detection
Serial Number Field (single line) Use exact serial, set regex validation, unique identifier
Location Address Field (address block) Include street, city, state, ZIP; P.O. box not recommended
Signature and Notary Block with Options Require signer name, title, date; enable notarization workflow when needed

After signing: filing, routing, and record distribution

After execution, route copies to stakeholders, file UCC-1 where collateral located, and record any fixture filings required by local land records.

  • Send to Parties: Provide each party a fully executed copy by email or mail.
  • UCC Filing: File UCC-1 with the state's Secretary of State in collateral jurisdiction.
  • Recorder's Office: If fixture, record notice in county land records as required.
  • Accounting: Deliver invoice and asset list to accounting for capitalization and depreciation.

Digital signing, formats, and integration considerations

Digital distribution and eSign options enable secure signing, authentication, and integration with accounting and filing systems.

  • File Formats: PDF, DOCX, and editable templates supported
  • Integrations: NetSuite, Salesforce, Google Workspace, Box, Procore
  • Authentication: Email, SMS, and advanced signer verification

Key deadlines and milestone dates to document

Key deadlines center on effective date, delivery and inspection windows, payment milestones, UCC filing timing, and statute of limitations for claims.

Effective Date:

Controls when obligations begin and deadlines count from this date.

Delivery Deadline:

Specify date or days after signing for delivery and installation.

Inspection Period:

Allow defined inspection timeframe for acceptance or rejection.

Payment Milestones:

List deposit, interim payments, and final payment due dates.

UCC Filing Timeline:

File within applicable state timeframe to perfect security interest.

Common preparation mistakes to avoid

  • Failing to list serial numbers or model details can prevent accurate UCC searches and lead to a security interest that is unenforceable against third parties.
  • Using vague location descriptions or a P.O. box instead of a physical address may invalidate fixture notices and hinder enforcement in county land records.
  • Omitting remedies, cure periods, or repossession procedures can increase litigation costs and reduce ability to recover collateral after default.
  • Failing to check state-specific notarization, witness, or recording rules can delay recording or render the document less effective.

Short list of legal and operational risks

Loss of Priority: Unperfected security interest loses priority.
Tax Reclassification: Sale mistaken as lease affects depreciation.
Recording Delay: Delays stall enforcement and notice.
UCC Rejection: Incorrect collateral description rejected.
Contract Disputes: Ambiguous terms invite litigation.
I-9/Payroll Risk: Employee equipment benefits may trigger payroll issues.
