EQUIPMENT HANDOVER AGREEMENT

This Equipment Handover Agreement (the Agreement) is entered into as of between:

WHEREAS

WHEREAS, Party A is the lawful owner or authorized custodian of the equipment described in this Agreement and is willing to hand over possession of such equipment to Party B under the terms set forth herein; and

WHEREAS, Party B requires possession of the equipment for the purposes and duration described in this Agreement and agrees to accept responsibility for the equipment as set forth below; and

WHEREAS, the parties desire to set forth their respective rights and obligations concerning the handover, use, maintenance, return, liability and payment associated with the equipment.

EQUIPMENT DESCRIPTION

The equipment to be handed over is described below. Additional pages or schedules may be attached and incorporated by reference where the parties sign each additional page.

SCOPE OF HANDOVER AND USE

Party A shall deliver physical possession of the equipment to Party B at the location and on the date agreed by the parties. Party B shall accept the equipment in its then-existing condition except as expressly noted in the equipment list above.

PAYMENT TERMS

In consideration of the handover and use of the equipment, Party B agrees to pay Party A the amounts and on the schedule set forth below.

Late payment shall incur interest at the rate of on overdue amounts, calculated monthly from the date due until paid in full. Parties may instead list a flat late fee:

TERM AND TERMINATION

This Agreement commences on and terminates on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for cause upon material breach by the other party if such breach remains uncured for a period of days after written notice specifying the breach. For convenience, either party may terminate upon days' prior written notice to the other party, subject to any payment obligations accrued through the effective date of termination.

DELIVERY, ACCEPTANCE, RETURN, AND MAINTENANCE

Party A shall deliver the equipment to on or before . Party B shall inspect and either accept or notify Party A of any non-conformity within days of delivery.

Party B shall maintain the equipment in good working order and is responsible for ordinary care. Repairs required due to misuse shall be at Party B's expense. Upon expiration or termination, Party B shall return the equipment to Party A in substantially the same condition as delivered, reasonable wear and tear excepted.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive confidential or proprietary information of the other party. Each party agrees to (a) hold such information in strict confidence, (b) use the information solely for the purposes of performing under this Agreement, and (c) not disclose such information to any third party except to employees or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law, provided the disclosing party is given prompt notice and an opportunity to seek protective relief.

LIABILITY, INSURANCE AND INDEMNITY

Party B assumes responsibility for loss or damage to the equipment from the time of delivery until return, except for loss or damage resulting from Party A's gross negligence or willful misconduct. Party B shall maintain insurance coverage adequate to cover the replacement value of the equipment and shall provide evidence of such insurance upon request. Each party agrees to indemnify and hold harmless the other party from and against claims arising out of its negligence, willful misconduct, or breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and signed schedules, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and communications, whether oral or written. No amendment or modification shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Party A may assign to an affiliate or successor in interest. Notices required by this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing.
