EQUIPMENT INSTALLATION AGREEMENT

This Equipment Installation Agreement (the "Agreement") is entered into as of by and between Client Name: and Installer Name: (each a "Party" and together the "Parties").

WHEREAS

WHEREAS, Client desires to engage Installer to furnish labor, supervision and materials necessary for the installation of certain equipment described in the Scope of Work; and

WHEREAS, Installer represents that it has the experience, personnel, licenses and insurance required to perform the installation in a professional, workmanlike manner in accordance with industry standards and applicable laws and regulations; and

WHEREAS, the Parties wish to set forth their respective rights and obligations regarding the installation, testing and acceptance of the equipment.

SCOPE OF WORK

Installer shall perform the installation services described below in accordance with the terms of this Agreement. The Scope of Work shall include, without limitation, delivery coordination, site preparation, mounting or placement of equipment, connections to power and data services where specified, startup, configuration, and on-site functional testing, together with reasonable cleanup of the site following completion.

PAYMENT TERMS

Client shall pay Installer for the Work in accordance with the payment schedule set forth below. All amounts are in U.S. dollars and exclusive of applicable taxes unless stated otherwise.

Unless otherwise agreed in writing, all undisputed invoices are due within the number of days specified in the Payment Schedule. Client shall notify Installer in writing of any disputed portion of an invoice within seven (7) days of receipt; undisputed amounts remain payable when due.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party if such breach is not cured within thirty (30) days after written notice. Client may suspend work for convenience upon written notice; Installer shall be entitled to payment for work performed and reasonable demobilization costs.

CONFIDENTIALITY

Each Party shall treat as confidential all non-public information disclosed by the other Party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that is (a) already known to the receiving Party without restriction, (b) or becomes publicly available through no fault of the receiving Party, (c) or is independently developed by the receiving Party without use of Confidential Information, or (d) is required to be disclosed by law or court order subject to any permitted protective orders.

INSURANCE, INDEMNITY AND WARRANTY

Installer shall maintain, at its expense, commercial general liability insurance, workers' compensation and any other coverage as required by law or as reasonably requested by Client. Installer shall indemnify, defend and hold Client harmless from claims arising out of Installer's negligent performance, breach of this Agreement, or willful misconduct, except to the extent caused by Client's negligence.

Installer warrants that the installation services will be free from material defects and performed in a workmanlike manner for the Warranty Period. Remedies for breach of warranty shall be repair or re-performance at Installer's expense. This warranty does not cover defects due to misuse, modification, or unauthorized repair.

ACCEPTANCE AND TESTING

Upon completion of installation, Installer shall conduct functional tests and demonstrate operation of the equipment. Client shall have days to perform acceptance testing and either deliver a written acceptance or provide written notice of defects. Failure to provide timely notice constitutes acceptance.

COMPLIANCE, PERMITS AND SITE ACCESS

Client shall secure and pay for any permits, approvals or power/data connections unless otherwise agreed. Installer shall comply with applicable codes, safety requirements, and site rules and shall coordinate with Client regarding access and scheduling.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflict of laws.

ENTIRE AGREEMENT

This Agreement, including any exhibits, attachments or change orders executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior written or oral agreements. Any amendment must be in writing and signed by authorized representatives of both Parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and sent to the addresses below by certified mail, courier, or electronic mail with confirmation.

CHANGE ORDERS

Any changes to the Scope of Work, schedule, or price shall be documented in a written change order signed by authorized representatives of both Parties. Change orders shall specify the change, any change in price, and any adjustment to the schedule.

FORCE MAJEURE

Neither Party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, labor disputes, shortages, transportation failures, acts of government, or pandemic-related restrictions. The affected Party shall promptly notify the other Party and take reasonable steps to mitigate the impact.
