EQUIPMENT LEASE CONTRACT

This Equipment Lease Contract (the "Agreement") is entered into as of by and between Lessor Name: , a organized under the laws of ; and Lessee Name: , a organized under the laws of .

RECITALS

WHEREAS, Lessor is the owner of certain machinery and equipment described in Section 1 and desires to lease such equipment to Lessee on the terms and conditions set forth herein; and

WHEREAS, Lessee desires to lease the equipment from Lessor for use in Lessee's business operations and is willing to accept the equipment in its current condition subject to the terms of this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth their respective rights, duties and obligations with respect to the lease of the equipment.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Equipment" means the items described in the Equipment Schedule attached hereto as Section 1.2 and any replacements and substitutions provided under this Agreement.

2. LEASE OF EQUIPMENT

2.1 Lease. Subject to the terms and conditions of this Agreement, Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the Equipment specified in Section 1.2 for Lessee's business use only.

2.2 Title. Title to the Equipment shall at all times remain vested in Lessor. Lessee shall not encumber, pledge, or permit any lien or security interest to attach to the Equipment.

3. TERM

3.1 Commencement and Term. The lease term shall commence on and continue for a period of months unless earlier terminated in accordance with this Agreement.

4. RENT AND PAYMENT

4.1 Rent. Lessee shall pay Lessor rent in the amount of per month, payable in advance on the day of each month at Lessor's address for notices or at such other place as Lessor may direct in writing.

4.2 Late Payment. Any rent not received within ten (10) days of the due date shall incur a late charge equal to the lesser of 5% of the overdue amount or the maximum permitted by law, plus interest at the rate of .

4.3 Taxes and Costs. Lessee shall be responsible for all taxes, assessments, and governmental charges related to Lessee's use or possession of the Equipment, excluding taxes based on Lessor's net income.

5. SECURITY DEPOSIT

5.1 Deposit Amount. Upon execution of this Agreement, Lessee shall deliver to Lessor a security deposit in the amount of to secure Lessee's obligations hereunder.

5.2 Application. Lessor may apply the security deposit to cure any default, to repair damage to the Equipment, or to satisfy other amounts due under this Agreement. Lessee shall replenish the deposit upon demand.

6. DELIVERY, ACCEPTANCE, AND LOCATION

6.1 Delivery. Lessor shall deliver the Equipment to Lessee at the following delivery address:

6.2 Acceptance. Lessee shall inspect and accept the Equipment within three (3) business days after delivery. Failure to provide written notice of rejection within such period will constitute acceptance.

6.3 Relocation. Lessee shall not remove the Equipment from the delivery location without the prior written consent of Lessor, which consent shall not be unreasonably withheld.

7. USE, MAINTENANCE AND REPAIR

7.1 Use. Lessee shall use the Equipment in a careful, proper, and lawful manner in accordance with manufacturer's instructions and shall not use the Equipment for any purpose other than as contracted in writing.

7.2 Maintenance. Lessee shall, at its sole expense, perform routine maintenance and keep the Equipment in good working order. Lessor shall be responsible for major repairs resulting from normal wear and tear only if Maintenance Included is selected below.

8. INSURANCE

8.1 Insurance Requirements. During the Term, Lessee shall, at its expense, maintain commercial general liability insurance and property insurance covering loss, theft, damage and liability with respect to the Equipment in amounts reasonably satisfactory to Lessor and naming Lessor as loss payee and additional insured with respect to liability.

8.2 Evidence. Lessee shall provide certificates of insurance and endorsements to Lessor prior to delivery and upon each renewal of such policies.

9. INDEMNITY AND LIMITATION OF LIABILITY

9.1 Indemnity. Lessee shall indemnify, defend and hold harmless Lessor and its officers, directors and employees from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Lessee's possession, use or misuse of the Equipment, except to the extent caused by Lessor's gross negligence or willful misconduct.

9.2 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT.

10. DEFAULT AND REMEDIES

10.1 Events of Default. Each of the following shall constitute an event of default: (a) Lessee's failure to pay rent or other amounts when due and failure to cure within five (5) days after written notice; (b) Lessee's failure to maintain insurance as required; (c) insolvency or appointment of a receiver for Lessee; (d) assignment for the benefit of creditors by Lessee.

10.2 Remedies. Upon the occurrence of an event of default, Lessor may, in addition to other rights and remedies available at law or in equity, terminate this Agreement, recover all sums due, and take immediate possession of and remove the Equipment without notice or legal process where permitted by law.

11. RETURN OF EQUIPMENT

11.1 Condition on Return. Upon expiration or termination of the Term, Lessee shall return the Equipment to Lessor in the same condition as received, ordinary wear and tear excepted. Lessee shall be responsible for the cost of repair or replacement for damage beyond ordinary wear and tear.

12. ASSIGNMENT AND SUBLEASE

12.1 Prohibited Transfer. Lessee shall not assign, transfer, mortgage, or sublicense its rights or obligations under this Agreement or sublease the Equipment without the prior written consent of Lessor, which consent shall not be unreasonably withheld.

13. NOTICES

13.1 Notices. All notices, requests, demands and other communications hereunder shall be in writing and shall be delivered to the addresses set forth below or to such other address as either party designates by notice to the other.

14. AMENDMENTS, WAIVER AND COUNTERPARTS

14.1 Amendments. This Agreement may not be amended except by a written instrument executed by both parties.

14.2 Waiver. No waiver by either party of any breach shall be deemed a waiver of any subsequent breach.

14.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

15.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

15.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, both written and oral.

15.3 Severability. If any provision of this Agreement is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16. MISCELLANEOUS

16.1 Remedies Cumulative. The rights and remedies provided in this Agreement are cumulative and are in addition to any other rights or remedies available at law or in equity.

16.2 Relationship of Parties. The relationship of the parties under this Agreement is that of lessor and lessee. Nothing in this Agreement shall be construed to create a partnership, joint venture or employment relationship between the parties.
