WHEREAS

WHEREAS, Service Provider is engaged in the business of maintenance, repair and replacement of industrial pumping equipment and possesses the experience, personnel, tools and licenses necessary to perform pump replacement services for the Client; and

WHEREAS, Client requires replacement of the pump identified above and agrees to engage Service Provider, and Service Provider agrees to perform replacement services in accordance with the terms and conditions set forth in this Agreement.

Scope of Work

Service Provider shall furnish all labor, materials, parts, tools, equipment, supervision and testing necessary to remove the existing pump and install a replacement pump, including start-up and functional testing, as described below. Work shall be performed in a professional and workmanlike manner in accordance with industry standards.

Either party may terminate this Agreement for cause upon material breach by the other party if such breach is not cured within days after written notice. Client may terminate for convenience upon days' prior written notice; in such case Client shall pay for work performed and non-cancellable obligations incurred through the effective date of termination.

Confidentiality

Each party shall hold in confidence all confidential information disclosed by the other party that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information. Confidential information shall not include information that is publicly available through no fault of the receiving party, independently developed by the receiving party without use of the disclosing party's confidential information, or required to be disclosed by law. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except that obligations with respect to trade secrets shall survive as long as the information qualifies as a trade secret under applicable law.

Acceptance and Testing

Following installation and initial start-up, Service Provider shall conduct tests and demonstrate to Client that the replacement pump operates in accordance with the agreed performance criteria. If testing indicates non-conformance, Service Provider shall promptly correct defects and retest.

Warranty

Service Provider warrants that labor furnished under this Agreement shall be free from defects for a period of months following date of acceptance. Parts warranty shall conform to the manufacturer's warranty; where no manufacturer warranty applies, Service Provider warrants replacement parts for months. Warranty remedies are limited to repair or replacement, at Service Provider's option.

Liability and Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, damages and expenses arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct, subject to any limitations of liability set forth herein. In no event shall Service Provider be liable for consequential, incidental, punitive or special damages, except for damages arising from gross negligence or willful misconduct.

Change Orders

Any change in the scope, schedule or price shall be made only by a written change order signed by authorized representatives of both parties. Service Provider shall not be obligated to perform additional work absent an executed change order.

Insurance

Service Provider shall maintain commercial general liability, workers' compensation and automobile liability insurance in amounts customary for the industry. Upon request, Service Provider shall provide certificates of insurance evidencing coverage.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. This Agreement, including any documents referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest.
