WHEREAS, Supplier is engaged in the manufacture, assembly and sale of pump equipment and related kits, and represents that it has the capability and authority to supply the goods described herein; and

WHEREAS, Purchaser desires to purchase and receive the Equipment Pump Kit detailed below for use in Purchaser's operations, subject to the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. In addition, either party may terminate for convenience upon days' prior written notice to the other party.

Confidentiality

Each party shall keep confidential all non-public technical, financial and business information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that (a) was known to the recipient prior to disclosure without obligation of confidentiality; (b) becomes publicly known through no fault of the recipient; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the recipient.

The recipient shall use Confidential Information only for the performance of this Agreement, shall limit access to those employees and contractors who have a need to know, and shall protect such information with the same degree of care it uses for its own confidential information but in no event less than reasonable care.

Warranties; Disclaimer; Limitation of Liability

Supplier warrants that for a period of months from the date of delivery the Equipment will be free from defects in materials and workmanship under normal use. Purchaser's exclusive remedy for breach of this warranty shall be repair or replacement of defective parts at Supplier's option, provided Supplier is given prompt written notice and reasonable opportunity to inspect.

EXCEPT FOR THE EXPRESS WARRANTY SET FORTH ABOVE, SUPPLIER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, AND BOTH PARTIES' AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE LIMITED TO THE TOTAL AMOUNTS PAID BY PURCHASER TO SUPPLIER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification and Insurance

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence or willful misconduct in connection with performance under this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration under commercially reasonable arbitration procedures selected by the parties.

Entire Agreement; Amendments

This Agreement, including all schedules and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the address set forth above or to such other address as either party may designate by notice to the other. Notices delivered by certified mail, return receipt requested, or by nationally recognized overnight carrier shall be deemed given upon receipt.
