EQUIPMENT RENTAL AGREEMENT

This Equipment Rental Agreement (the "Agreement") is made as of by and between Lessor: with address: and Lessee: with address: .

RECITALS

WHEREAS, Lessor owns or controls ownership interests in certain equipment described herein and is willing to lease such equipment to Lessee on the terms set forth in this Agreement; and

WHEREAS, Lessee desires to rent the equipment for the purposes and under the conditions set forth below and represents that Lessee has the capacity to operate and maintain the equipment in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the rental, operation, maintenance, and return of the equipment.

1. Equipment

Lessor hereby rents to Lessee, and Lessee hereby rents from Lessor, the equipment and accessories described below (collectively, the "Equipment"), subject to the terms and conditions of this Agreement.

SCOPE OF WORK

Lessee shall use the Equipment solely for the purposes described below and in accordance with all applicable laws, manufacturer instructions, and any additional limitations set forth by Lessor. Lessee shall not sublease, lend, or permit third-party use of the Equipment without Lessor's prior written consent.

Late Payment: A late fee equal to of the overdue amount shall accrue for each month or portion thereof that payment is delayed. Lessee shall also be responsible for reasonable collection costs, including attorneys' fees.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period set forth above. Lessor may immediately terminate without cure period if Lessee's use of the Equipment creates an imminent risk of harm, or Lessee becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors. Upon termination, Lessee shall return the Equipment in the condition required by Section 6 and shall pay all accrued fees and any reasonable early termination charges specified in this Agreement.

INSURANCE AND MAINTENANCE

Lessee shall, at its sole cost and expense, procure and maintain insurance covering the Equipment and Lessee's operations, including commercial general liability and property insurance with limits adequate for the operations and naming Lessor as an additional insured and loss payee as required by Lessor.

Lessee shall maintain the Equipment in good working order and perform routine maintenance. Lessee shall immediately notify Lessor of any loss, theft, damage, or malfunction. Lessee shall not repair or modify the Equipment except with prior written consent of Lessor; any approved repairs must comply with manufacturer's specifications.

RETURN AND CONDITION

Upon expiration or termination, Lessee shall return the Equipment to Lessor at the agreed return location in the same condition as delivered, reasonable wear and tear excepted. Lessee shall be responsible for the cost of repair or replacement for damage beyond ordinary wear and tear. Lessor may, at its election, collect fees for cleaning, repair, or replacement from Lessee's deposit.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive confidential information of the other party. "Confidential Information" shall include non-public business, technical, financial, and operational information disclosed in connection with this Agreement. Receiving party shall not disclose or use Confidential Information except as necessary to perform its obligations hereunder. Confidentiality obligations shall not apply to information that is publicly available through no fault of the receiving party, already known to the receiving party at disclosure, independently developed without use of Confidential Information, or required to be disclosed by law. The confidentiality obligations of this Section shall survive termination of this Agreement for years.

INDEMNITY AND LIMITATION OF LIABILITY

Lessee shall indemnify, defend, and hold harmless Lessor and its officers, directors, agents and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Lessee's use, possession, or operation of the Equipment, including damage to property or bodily injury, except to the extent caused by Lessor's gross negligence or willful misconduct.

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

COMPLIANCE WITH LAW

Lessee shall comply with all applicable federal, state, and local laws, ordinances, rules and regulations in connection with Lessee's use of the Equipment, including obtaining any necessary permits, licenses, or operator qualifications.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered personally, by overnight courier, or by certified mail (return receipt requested) to the notice addresses set forth above or such other address as either party may designate by notice to the other.

ENTIRE AGREEMENT

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Lessor may assign this Agreement to an affiliate or to a purchaser of substantially all of Lessor's assets without Lessee's consent. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
