Recitals

WHEREAS, Owner is the lawful owner of the equipment described below and has the authority to rent such equipment to Renter; and

WHEREAS, Renter desires to rent the equipment from Owner for the purposes and under the terms set forth in this Agreement; and

WHEREAS, the parties desire to define their respective rights and obligations with respect to the rental of the equipment under the terms set forth herein.

Scope of Work

The equipment shall be used by Renter solely for the following purposes and at the following location(s). Renter shall not use the equipment for any unlawful purpose or outside the scope described below.

Delivery, Return, and Condition

Owner shall deliver the equipment to the location specified by Renter. Renter shall inspect the equipment at delivery and shall notify Owner in writing within 24 hours of any discrepancies or damage. Renter shall return the equipment in the same condition as delivered, ordinary wear and tear excepted. Renter shall be responsible for all loss, theft, or damage to the equipment while in Renter's custody.

Payment Terms

Rental Rate (per agreed period):

Late Fee: If any payment is not received by Owner when due, Renter shall pay interest on the overdue amount at the lesser of (a) % per month or (b) the maximum rate permitted by law, plus reasonable collection costs.

Insurance and Liability

Renter shall, at its expense, maintain insurance covering the equipment against loss, theft, and damage, and commercial general liability insurance covering Renter's operations. Renter shall provide certificates of insurance to Owner upon request and shall name Owner as an additional insured or loss payee where applicable. Owner shall not be liable for indirect, incidental, or consequential losses arising from Renter's use of the equipment.

Indemnification

Renter shall indemnify, defend, and hold Owner harmless from any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of Renter's use, operation, or possession of the equipment, except to the extent caused by Owner's gross negligence or willful misconduct.

Confidentiality

Each party shall keep confidential and not disclose to third parties any proprietary or confidential information received from the other party in connection with this Agreement, except as required by law or with the disclosing party's prior written consent. This obligation shall survive termination of the Agreement for a period of two (2) years.

Term and Termination

This Agreement commences on the Commencement Date set forth above and terminates on the Termination Date unless earlier terminated in accordance with this Section. Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified in the Notice Period field above. Owner may terminate immediately if Renter fails to maintain required insurance or causes imminent risk of loss to the equipment.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles.

Entire Agreement

This Agreement, including any equipment schedules, attachments, and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

Miscellaneous Provisions

Any amendment to this Agreement must be in writing signed by both parties. If any provision of this Agreement is held invalid, the remainder of the Agreement shall remain in full force and effect.
