EQUIPMENT REPAIR AMENDMENT

This Equipment Repair Amendment ("Amendment") is made effective as of by and between:

RECITALS

WHEREAS, Service Provider and Client entered into an Equipment Repair Agreement dated (the "Original Agreement") governing repair, maintenance and related services for certain equipment; and

WHEREAS, the parties now desire to amend the Original Agreement to modify the scope of work, payment terms and certain other provisions as set forth in this Amendment; and

WHEREAS, except as expressly amended herein, the Original Agreement remains in full force and effect.

AMENDMENT TO SCOPE OF WORK

The parties agree that Section(s) of the Original Agreement identified below are amended to read as follows. The Service Provider shall perform the repair services described in this Amendment in a professional manner in accordance with industry standards.

PAYMENT TERMS

In consideration for the services described in this Amendment, Client shall pay Service Provider as follows:

All sums owing under this Amendment are payable in United States dollars unless otherwise agreed in writing. Client shall pay any reasonable costs of collection, including attorneys' fees, for undisputed amounts not paid when due.

TERM AND TERMINATION

The term of this Amendment shall commence on and shall terminate on unless earlier terminated in accordance with this section.

Either party may terminate this Amendment for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination of this Amendment shall not relieve either party of any obligation accrued prior to termination.

CONFIDENTIALITY

Each party shall maintain in confidence all technical, business and financial information disclosed by the other party in connection with the Original Agreement and this Amendment ("Confidential Information"). Confidential Information shall not include information that is or becomes generally available to the public through no fault of the receiving party. The receiving party shall use Confidential Information solely for performance under the Original Agreement and this Amendment and shall not disclose such information to third parties except to those employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein.

INSURANCE AND LIABILITY

Service Provider represents that it maintains commercially reasonable liability and workers' compensation insurance appropriate to the services provided. Except to the extent caused by gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental or punitive damages. The foregoing limitation shall not apply to liability for personal injury or death.

GOVERNING LAW

This Amendment and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

ENTIRE AGREEMENT; EFFECT OF AMENDMENT

This Amendment, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. Except as expressly modified by this Amendment, all terms and conditions of the Original Agreement shall remain unchanged and in full force and effect.

MISCELLANEOUS

Any notices required or permitted under this Amendment shall be given in writing and delivered in accordance with the notice provisions of the Original Agreement.
