EQUIPMENT REPAIR AGREEMENT — TREADMILL REPAIR

This Equipment Repair Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client owns a treadmill described as Equipment Make/Model: , Serial Number: (the "Equipment"); and

WHEREAS, Service Provider is engaged in the business of diagnosing, servicing and repairing fitness equipment and has the skill, personnel and facilities necessary to service the Equipment; and

WHEREAS, Client desires to retain Service Provider to perform repair services on the Equipment pursuant to the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Service Provider shall perform the repair, replacement and testing services reasonably necessary to restore the Equipment to normal operating condition. Detailed description of services and tasks follows:

PAYMENT TERMS

Client shall pay Service Provider the Total Repair Cost as follows: Deposit Amount: (due upon authorization), Remaining Balance Due on Completion: .

Late Payment: Any undisputed amount not paid when due shall accrue interest at a rate of (or the maximum permitted by law, if lower). Client is also responsible for collection costs, including reasonable attorneys' fees.

Taxes: Client is responsible for sales, use or other taxes applicable to parts or services unless Client provides a valid exemption certificate prior to invoicing.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate upon written notice delivered at least days in advance. Termination for Cause: Either party may terminate if the other materially breaches this Agreement and fails to cure within days after written notice of such breach.

Upon termination, Client shall pay Service Provider for all services performed and parts supplied through the termination date, together with any reasonable demobilization costs.

CONFIDENTIALITY

Each party agrees that Confidential Information of the other party will be kept strictly confidential and will not be disclosed to third parties without prior written consent, except as required by law. "Confidential Information" does not include information that (i) is or becomes publicly available without breach; (ii) was in the receiving party's possession prior to disclosure; or (iii) is independently developed without use of the disclosing party's Confidential Information. Confidentiality obligations shall survive termination of this Agreement for a period of years.

WARRANTIES; LIMITATION OF LIABILITY

Service Provider warrants that repairs and labor performed under this Agreement shall be free from defects in workmanship for a period of days from completion. This warranty does not cover normal wear and tear, misuse, alterations by others, or damage due to electrical or environmental conditions beyond the control of Service Provider. Service Provider's sole obligation under this warranty is, at its option, to repair or re-perform the defective work.

EXCEPT FOR THE EXPRESS WARRANTY ABOVE, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF SERVICE PROVIDER FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT.

INDEMNIFICATION & INSURANCE

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, damages and costs (including reasonable attorneys' fees) arising from that party's negligence or willful misconduct in performing its obligations under this Agreement.

Insurance: Service Provider shall maintain commercial general liability insurance and, where applicable, workers' compensation insurance with minimum limits of . Upon request, Service Provider shall provide proof of insurance to Client.

ACCESS, SAFETY AND PARTS

Client shall provide safe, unobstructed access to the Equipment, electrical power, and any required utilities. Client is responsible for moving the Equipment to a serviceable location unless otherwise agreed in writing. Service Provider shall comply with applicable safety requirements while on Client premises.

Replaced parts removed from the Equipment shall become the property of Service Provider unless Client and Service Provider agree otherwise in writing. Service Provider may retain removed parts for warranty, diagnostic or disposal purposes.

ACCEPTANCE; INSPECTION

Upon completion of repair, Service Provider shall notify Client. Client shall have days to inspect the Equipment and report any nonconforming work. Failure to provide timely written notice shall constitute acceptance.

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, and communications, whether oral or written. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Force Majeure: Neither party shall be liable for delays or failures to perform caused by circumstances beyond its reasonable control, including strikes, acts of God, or supplier failures, provided that the affected party gives prompt notice and uses commercially reasonable efforts to resume performance.
