WHEREAS, Vendor is engaged in the business of supplying, installing and commissioning replacement equipment and related services; and

WHEREAS, Client requires replacement of specified equipment and has requested a written quotation for supply, removal, installation and incidental services in accordance with the terms set forth below; and

NOW, THEREFORE, Vendor provides this Equipment Replacement Quote and proposed terms, which become binding upon Client's written acceptance within the Valid Until date.

Payment Terms

Payment obligations: Client shall pay Vendor the Total Quote Amount in accordance with the schedule below. All payments shall be due in United States dollars unless otherwise agreed in writing.

Late payment: Any undisputed amount not paid by the due date shall incur a late fee of per month (or the maximum permitted by law) calculated daily from the due date until paid. Client shall also reimburse Vendor for reasonable collection costs and attorneys' fees incurred in enforcing payment.

Either party may terminate this Quote prior to acceptance by providing written notice. After acceptance, this Agreement may be terminated for material breach if the breaching party fails to cure within days following written notice. Termination does not relieve Client of payment for work performed and equipment delivered prior to the effective termination date.

Confidentiality

Each party shall hold in confidence the other party's confidential information disclosed in connection with this Quote and shall not disclose or use such information except to fulfill obligations under this Quote or as required by law. Confidential information excludes information that is or becomes publicly known through no breach, was known prior to disclosure, or is independently developed without use of the other's confidential information. Confidentiality obligations survive termination for a period of three (3) years.

Warranty & Limitation of Liability

Vendor warrants that replaced equipment will conform to applicable specifications for a period described in the Scope of Work. EXCEPT AS EXPRESSLY STATED, VENDOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. VENDOR'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT UNDER THIS QUOTE.

Governing Law; Entire Agreement

This Quote shall be governed by the laws of the State of without regard to conflict of law principles. This Quote, together with any accepted attachments, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and proposals. Amendments must be in writing and signed by authorized representatives of both parties.
