Either party may terminate this transfer prior to completion by providing written notice no fewer than days to the other party. Termination does not affect obligations accrued prior to the effective date of termination.

INSPECTION, TITLE, AND RISK OF LOSS

Transferor warrants that, to the best of its knowledge, it has good and marketable title to the equipment being transferred and that there are no undisclosed liens or encumbrances except as disclosed here:

Risk of loss passes to Transferee upon delivery and acceptance at the transfer location, subject to any written inspection period described in the Scope of Work.

CONFIDENTIALITY

Each party shall keep confidential any non-public information obtained in connection with this transfer and shall not disclose such information to any third party except as required by law or with the other party's prior written consent. Confidential information does not include information that is or becomes generally known to the public other than through a breach of this provision.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, or punitive damages arising out of this transfer. The maximum aggregate liability of either party for claims arising from this transfer shall not exceed the total monetary consideration actually received for the equipment.

WARRANTIES AND AS-IS ACKNOWLEDGMENT

UNLESS EXPRESSLY SET FORTH HEREIN, ALL EQUIPMENT IS TRANSFERRED "AS IS, WHERE IS" WITHOUT ANY OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Any express warranty provided by Transferor must be stated in writing in the Scope of Work or an attached warranty addendum.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This document, together with any attachments and addenda expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, understandings, and agreements between the parties.
