Equipment Usage Agreement

Parties

Recitals

WHEREAS, Owner owns or controls certain equipment and related accessories described below (the "Equipment") and is willing to permit limited use of the Equipment by User under the terms set forth in this Agreement; and

WHEREAS, User desires to use the Equipment for the purposes described in this Agreement and represents that User has the skill and capacity to safely operate the Equipment; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the use, maintenance, insurance, and return of the Equipment.

Equipment Description

Scope of Work

User shall use the Equipment only for the activities specifically authorized by Owner and described below. Use for any other purpose requires prior written consent of Owner.

Payment Terms

User shall pay Owner the fees specified below in exchange for use of the Equipment. All fees are payable in United States currency unless otherwise agreed in writing.

Term and Termination

This Agreement commences on the Effective Date and continues until the End Date unless earlier terminated pursuant to the terms below.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period provided above. Owner may immediately terminate for failure to maintain required insurance or for misuse of Equipment that creates imminent risk.

Insurance; Risk; Indemnity

User shall assume all risk of loss and damage to the Equipment from the time of pickup or delivery until return and shall maintain insurance naming Owner as additional insured and loss payee as required below.

User will indemnify, defend, and hold Owner harmless from any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of User's use, operation, maintenance, or transportation of the Equipment, except to the extent caused by Owner's gross negligence or willful misconduct.

Maintenance, Repairs, and Inspections

Responsibility for routine maintenance and repairs shall be allocated as follows. User shall not perform major repairs without Owner's prior written consent.

Return of Equipment

User shall return the Equipment to Owner at the agreed location in substantially the same condition as received, ordinary wear and tear excepted, on or before the Return Date below.

Confidentiality

Each party acknowledges that during the term of this Agreement it may receive confidential or proprietary information of the other party. Each party agrees to hold such information in confidence and not to disclose or use it except as necessary to perform the obligations under this Agreement. This obligation survives termination for a period of two (2) years.

Liability Limitations

Except for claims arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, special, incidental or punitive damages. Owner's total liability for claims arising out of this Agreement shall not exceed the paid fees for the applicable usage period or the agreed Equipment value, whichever is greater.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or waiver shall be effective unless in a writing signed by both parties.

Miscellaneous Provisions

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
