Tax Withholding and Withholding Methods

Participant acknowledges that the Company shall have the right to withhold applicable taxes upon settlement of RSUs. Participant authorizes the Company to satisfy withholding obligations by: withholding cash, withholding Shares, sell-to-cover or net share settlement.

Transfer Restrictions; Legends

RSUs are a conditioned right to receive Shares or cash and are not transferable except by will or by the laws of descent and distribution. Shares issued upon settlement shall bear any customary legend restricting transferability and shall be subject to shareholder agreements, if applicable.

Representations, Acknowledgements and Covenants

Participant represents and warrants that Participant has received a copy of the Plan, has had an opportunity to ask questions and obtain information regarding the Company, and accepts the terms, conditions and restrictions set forth in this Agreement and the Plan.

Administration; Amendment; Governing Law

The Administrator has full authority to administer the Plan and interpret this Agreement. The Company may amend the terms of this Agreement as permitted by the Plan, provided no amendment materially impairs vested rights without Participant consent unless required by law. This Agreement shall be governed by the internal laws of the state specified below.

Notices to the Company shall be sent to the address set forth above or to such other address as the Company shall specify. Notices to Participant shall be sent to Participant Address set forth above or to such other address as Participant shall specify in writing.

Other Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force. This Agreement and the Plan constitute the entire agreement between the parties with respect to the subject matter hereof.
