At closing, Escrow Holder is authorized to pay from escrowed funds: existing liens and encumbrances to be released, real property taxes and assessments prorated as of the closing date, title insurance premium, recording fees, agreed commissions, and such other amounts as are expressly identified in these instructions or by written agreement of the parties.

Seller shall deliver to Escrow Holder, prior to closing, a duly executed deed conveying marketable title free of encumbrances except as herein permitted, an affidavit regarding mechanics' liens and judgments, and any other documents reasonably requested by Escrow Holder to effect recordation. Buyer shall deliver the balance of purchase funds, executed affidavits, and loan payoff documentation necessary for closing.

Contingencies and Conditions

These instructions are subject to the following contingencies (if applicable): financing contingency; satisfactory inspections; appraisal equal to or greater than the purchase price; clearance of title. Unless waived in writing by the party entitled to the benefit of a contingency, Escrow Holder shall not disburse funds nor record conveyance until such contingency is either satisfied or expressly waived in writing by the entitled party.

In the event of default by a party, the non-defaulting party may pursue remedies under the purchase agreement and applicable law. Parties agree to indemnify and hold Escrow Holder harmless from claims, liabilities, losses, and expenses arising from reliance upon these instructions, except for Escrow Holder's gross negligence or willful misconduct.
