ESTATE SALE AGREEMENT

This Estate Sale Agreement ("Agreement") is made and entered into as of by and between the following parties:

Prevailing party in any dispute is entitled to recover reasonable attorneys' fees and costs, unless prohibited by law.

This Agreement shall be governed by the laws of the state where the Property is located. This Agreement, including its exhibits and any addenda, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements. No amendment is effective unless in writing and signed by both parties.

Notices

All notices shall be in writing and delivered to the addresses stated above (or to any updated address provided in writing) and shall be deemed given on personal delivery, three days after deposit in the U.S. mail, or one day after deposit with an overnight courier.

Miscellaneous

This Agreement is binding upon and inures to the benefit of the parties and their respective heirs, personal representatives, successors and permitted assigns. Time is of the essence with respect to dates and deadlines in this Agreement.
