NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows.

Deposits are non-refundable except as otherwise set forth in the Cancellation section below. Service Provider reserves the right to suspend performance for unpaid balances until payment is made in full.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within Notice Period: days after written notice. Termination shall not relieve Client of the obligation to pay for services performed and non-refundable expenses incurred prior to termination.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any proprietary or confidential information of the other party disclosed in connection with this Agreement, including but not limited to pricing, guest lists, vendor contracts, and trade secrets. This obligation of confidentiality shall not apply to information that is or becomes publicly known through no wrongful act of the receiving party or is rightfully received from a third party without breach of this Agreement.

Indemnification and Insurance

Client shall indemnify, defend and hold harmless Service Provider and its agents from and against any claims, liabilities, losses, costs or expenses (including reasonable attorneys' fees) arising out of Client's negligence, willful misconduct, or breach of this Agreement. Service Provider shall maintain general liability insurance covering its operations for the Event with minimum coverage of: $.

Publicity and Photography

By checking the box below, Client grants Service Provider a limited license to use non-confidential, non-identifying photographs of the Event for Service Provider's promotional materials and portfolio, subject to Client's written objection.

Limitation of Liability

Except for liability resulting from gross negligence or willful misconduct, and subject to indemnification obligations above, each party's aggregate liability under this Agreement shall be limited to direct damages not to exceed the Total Fee paid by Client to Service Provider for the Event. Neither party shall be liable for consequential, incidental, special, or punitive damages.

Governing Law; Entire Agreement

Governing Law: . The parties submit to the exclusive jurisdiction of the courts in the specified jurisdiction for any dispute arising out of this Agreement.

Entire Agreement: This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the Event and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

In the event of a force majeure that materially impacts the Event, the parties shall confer in good faith to agree upon an equitable adjustment or rescheduling.
