EVENT BOOKING AGREEMENT

This Event Booking Agreement (the "Agreement") is entered into as of by and between the parties identified below.

WHEREAS

WHEREAS, Client desires to engage Service Provider to provide event production, coordination, rental, entertainment, and related services for a specified event under the terms set forth in this Agreement.

WHEREAS, Service Provider represents that it has the skill, experience, personnel and equipment to perform the services described herein and agrees to provide such services in accordance with the terms and conditions of this Agreement.

WHEREAS, the parties intend that this Agreement set forth the full terms and conditions governing the relationship for the Event.

SCOPE OF WORK

Service Provider shall provide the services, personnel, equipment and deliverables described below for the Event. Service Provider will perform the services in a timely, professional manner consistent with industry standards and in compliance with applicable laws, venue rules, and reasonable instructions provided by Client.

PAYMENT TERMS

The total fee for the services described in this Agreement is USD, payable as follows.

Late Payment Fee: If any undisputed amount is not received by Service Provider when due, Client shall pay interest and late fees in the lesser of (a) a flat fee of USD, or (b) a charge of per month on the overdue balance, calculated from the due date until paid in full.

TERM AND TERMINATION

This Agreement commences on the date first written above and shall terminate upon completion of the Event and Service Provider's final obligations, unless earlier terminated as provided below. The primary period of engagement for the Event is from through .

Termination for Convenience: Either party may terminate this Agreement for convenience upon prior written notice to the other party at least days prior to the intended termination date. Termination by Client may be subject to cancellation fees as defined below.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party that remains uncured after ten (10) days' written notice specifying the breach.

INSURANCE AND RISK

Client shall be responsible for securing any permits and licenses required by the venue or authorities. Service Provider shall maintain commercially reasonable insurance coverage appropriate to the services provided.

Service Provider must provide a certificate of insurance naming Client and venue as additional insureds.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party disclosed in connection with this Agreement except as required by law or with the disclosing party's prior written consent. "Confidential Information" includes pricing, technical specifications, unpublished proposals, and client lists, but excludes information that is publicly available or rightfully received from a third party without breach of any obligation.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform any obligation under this Agreement to the extent such delay or failure is caused by events beyond that party's reasonable control, including acts of God, governmental actions, pandemics, strikes, labor disputes, or other force majeure events. The affected party shall promptly notify the other and use reasonable efforts to resume performance.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Notices: Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party designates by notice to the other.
