EVENT BOOKING CONTRACT

This Event Booking Contract ("Agreement") is made as of Date: by and between:

WHEREAS, Service Provider represents that it has the experience, personnel, equipment and licenses necessary to perform the services described herein and agrees to provide such services in accordance with the terms of this Agreement.

Term and Termination

Cancellation by Client more than 60 days prior to the Event will result in forfeiture of the Deposit Amount. Cancellation within 60 days of the Event will result in payment of Cancellation Fee equal to Cancellation Fee Percentage: % of the Total Contract Fee, unless otherwise agreed in writing.

Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Event, including pricing, technical information, trade secrets, guest lists and marketing plans ("Confidential Information"), and not to use or disclose such information except as necessary to perform its obligations under this Agreement. Confidentiality obligations do not apply to information that is (a) publicly available through no fault of the receiving party; (b) rightfully received from a third party without restriction; or (c) required to be disclosed by law, provided the receiving party gives prompt notice to the disclosing party and limits disclosure to the extent required.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party from and against all third-party claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence or willful misconduct in connection with performance under this Agreement. In no event shall either party be liable for consequential, incidental or punitive damages. The Service Provider's total liability for any claim arising out of or relating to this Agreement shall not exceed the total fees actually paid by Client to Service Provider under this Agreement.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond its reasonable control, including natural disasters, acts of government, labor disputes, or acts of third parties. The affected party shall notify the other promptly and use commercially reasonable efforts to resume performance.

Entire Agreement; Amendments
