RECITALS

WHEREAS, Client desires to retain Organizer to provide event planning, coordination, and onsite production services for an event to be held as described below (the "Event"); and

WHEREAS, Organizer represents that it has the experience, personnel, equipment and licensing necessary to provide the services described in this Booking Memo and is willing to provide such services on the terms set forth herein; and

WHEREAS, the parties wish to memorialize their agreement regarding the Event and associated services.

SCOPE OF WORK

Organizer shall provide the services described below for the Event. The description below constitutes the detailed scope of work to be performed by Organizer and may only be amended in writing signed by both parties.

Late Payment: In the event any payment is not received by the due date, Organizer may assess late charges equal to on the outstanding balance, and may suspend performance until amounts due are paid.

Either party may terminate this Booking Memo for convenience by providing written notice to the other party at least days prior to the effective termination date. Termination for cause may occur if a party materially breaches any material obligation and fails to cure such breach within 10 days after receipt of written notice.

CANCELLATION; FORCE MAJEURE

Cancellation by Client less than days before the Event will result in a cancellation fee of $ or retention of the deposit, whichever is greater. Neither party shall be liable for failures due to causes beyond its reasonable control, including acts of God, government action, epidemic, labor disputes, or severe weather; in such case the parties shall seek to reschedule or otherwise resolve costs in good faith.

INSURANCE, PERMITS AND COMPLIANCE

Client requires Organizer to maintain commercial general liability insurance with limits not less than $ per occurrence and to provide a certificate of insurance naming Client as additional insured upon request.

CONFIDENTIALITY

Each party acknowledges that, in the course of performing this Booking Memo, it may receive or have access to confidential information of the other party. Confidential information means non-public business information, pricing, attendee lists, technical data, trade secrets and other information designated as confidential or which by its nature ought to be treated as confidential. Each party agrees to (a) hold confidential information in strict confidence, (b) use it solely to perform its obligations under this Booking Memo, and (c) not disclose it to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. The confidentiality obligations will not apply to information that is public, already known by the recipient, independently developed, or rightfully obtained from a third party without restriction.

LIMITATION OF LIABILITY; INDEMNIFICATION

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, punitive or special damages. Organizer shall indemnify and hold Client harmless from claims arising out of Organizer's negligence, willful misconduct, or breach of this Booking Memo, and Client shall indemnify Organizer for claims arising from Client's acts or omissions.

GOVERNING LAW; DISPUTE RESOLUTION

This Booking Memo shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties agree to attempt in good faith to resolve disputes by negotiation prior to pursuing litigation.

ENTIRE AGREEMENT; AMENDMENT

This Booking Memo, together with any attachments and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment, modification or waiver of any provision of this Booking Memo shall be effective unless in writing and signed by authorized representatives of both parties.
